“Notice for Empanelment”
INVITATION OF APPLICATIONS FROM PROSPECTIVE APPLICANTS FOR EMPANELMENT WITH NESCL FOR RENDERING BID ADVISORY SERVICES FOR “DISTRIBUTION FRANCHISEE (DF)/ PUBLIC PRIVATE PARTNERSHIP (PPP) REQUEST FOR PROPOSALS (RFP)
1.0INTRODUCTION:
NTPC Limited, India’s largest power company with present installed capacity of 43128 MW is emerging as a diversified power major with presence in the entire value chain of the power generation business. Apart from power generation, which is the mainstay of the company, NTPC has already ventured into consultancy, power trading, ash utilisation and coal mining. NTPC ranked 384th in the ‘2013, Forbes Global 2000’ ranking of the World’s biggest companies.
NTPC Electric Supply Company Limited (NESCL) incorporated in year 2002 as a wholly owned subsidiary of NTPC with an objective to demonstrate its competence in the area of retail power distribution by creating model distribution circles and strengthening the existing distribution sector by supplementing the efforts and initiatives taken by state owned distribution companies in introduction of new and innovative technologies and other efficiency improvement measures under various schemes.
2.0INTENT AND OBJECTIVE
The electricity distribution sector in the country is dominated by State owned Distribution companies (Discom) / SEBs as distribution licensees. Many States are likely to open up distribution business for private/ public participation to bring in efficiency in this sector.
NESCL finds opportunity in entering into distribution business through participation in DF/PPP bids. The DF opportunities could be for input power based/ incremental revenue sharing based/ light capex model/ any other model and the PPP opportunities (tenders) could be concessionaire/ any other model.
3.0INVITATION OF APPLICATIONS
(i)NESCL invites applications from prospective applicants for empanelment with NESCL for rendering bid advisory services for “Distribution Franchisee (DF)/ Public Private Partnership (PPP) Request for Proposals (RFP).
(ii)The application shall be accompanied by all requisite documents. The onus of establishing the correctness of information shall lie with the applicant.

(iii)All cost & expenses associated with submission of application shall be borne by the applicant and NESCL shall have no liability, in any manner in this regard, or if it decides to terminate the process of enlisting for any reason whatsoever.
4.0QUALIFYING REQUIREMENTS (QR)
(i)Technical
i.The applicant should be a registered firm/ Company registered under the provisions of Companies Act 1956/ Companies Act 2013 and should have been in existence for a period not less than ten years as on the date of publication of notice for empanelment.
ii.The applicant should have carried out at least 3 (three) assignments, related to bid advisory services for Distribution Franchisee (DF)/ PPP in India in the last ten years, either from investor (bidder) side or from DISCOM/ SEB side, of which at least 1 (one) assignment related to bid advisory services for Distribution Franchisee (DF)/ PPP must be from investor (bidder) side.
(ii)Financial
i.The average annual turnover of the applicant in the preceding three financial years as on date of submission of application shall not be less than Rs. 350 lakh from consultancy services.
(iii)The applicant or its subsidiary or holding company or any group company engaged in the business of electricity distribution in India shall not be considered for the empanelment.
(iv)Application in Joint Venture (JV)/ consortium/ associate route is not allowed.
(v)The empanelment shall be reviewed on an annual basis and deletion, if required, can be done.
5.0SUBMISSION OF THE APPLICATION:
(a)The application is to be submitted as per the prescribed enclosed format. The following documents are required to be submitted along with the application
(i)Covering letter in the prescribed format.
(ii)Information as required in Appendix- VI.
(iii)Copies of all documents establishing QR for empanelment as brought out in Para 4.0 above
(b)Clarification on tender documents
A prospective applicant, requiring any clarification on the notice for empanelment documents shall notify NESCL in writing or by

later than 10 days before the last date for submission of application. Copies of the query (without identifying the source) and clarifications by NESCL shall be put on the NTPC web site. However, NESCL reserves the right, in their sole discretion not to answer any question raised or provide clarification sought, if it is considered that it would be inappropriate to do so. Nothing in this section shall be taken or read as compelling or requiring NESCL to respond to any question or to provide information.
(c)Format and Signing of Application
The applicant shall prepare two (2) numbers of copies of application clearly marking one as ‘Original Application’ and remaining as ‘Copy No: 1’. In the event of any discrepancy between the copies, the original shall govern. The original and other copies of application shall be typed or printed, consecutively numbered and signed on each page by the applicant or a person or persons duly authorized. The letter of authorization shall be accompanied by written
(d)NESCL may, at its discretion, extend the date for the submission of application by press notification, in which case all rights and obligations of NESCL and applicants whose applications have already been submitted before the extension of this date shall remain unaltered.
(e)Strict adherence to the formats wherever specified, is required. Wherever, information has been sought in the specified formats, the party submitting the application shall refrain from referring to brochures/ pamphlets.
(f)Application submitted by the applicant shall become the property of NESCL and NESCL shall have no obligation to return the same to the party concerned.
(g)The application may be sent in a sealed cover marked “APPLICATION FOR
EMPANELMENT WITH NESCL FOR RENDERING BID ADVISORY SERVICES FOR “DISTRIBUTION FRANCHISEE (DF)/ PUBLIC PRIVATE PARTNERSHIP (PPP) REQUEST FOR PROPOSALS (RFP)” so as to reach the following address on or before 03.11.2014 till 17:00 hours.

(h)Application shall either be sent by registered post or delivered in person. The responsibility for ensuring that the application is delivered in time would vest with the applicant. Applications delivered in person shall be delivered to Addl. General Manager (C&M), Noida on or before 17:00 hours of due date. NESCL shall not be responsible if the applications are delivered elsewhere.

(i)Clarification of Application
To assist in the examination, evaluation and comparison of applications, NESCL may, at its discretion ask the applicant(s) for the clarification on its application. The request for the clarification and the response shall be in writing.
6.0 EMPANELMENT PROCESS
The process is elaborated in the enclosed document, “Terms of Reference (TOR)”.
7.0The right to suspend the empanelment process or part of the process, to accept or reject any or all applications at any stage of the process and/or to modify the process or any part thereof at any time without assigning any reason thereof is reserved by NESCL without any obligation or liability whatsoever.
8.0Acceptance of the application(s) constitutes no form of commitment on the part of NESCL. Furthermore, this acceptance of the application confers neither the right nor an expectation on any applicant to participate in any future assignment.
9.0Disqualification: -
(i)NESCL shall not consider any application that is found to be incomplete in content and /or attachments and /or authentication etc.
(ii)Without prejudice to any other rights & remedies available to NESCL any applicant may be disqualified and their application dropped from consideration for any of the reasons including but not limited to those listed below:-
(a)If a misrepresentation/ false statement is made by the applicant, at any stage, whether it is technical, Financial, document or otherwise.
(b)If it is discovered at any time that the applicant is in the process of winding- up/ insolvency or other proceedings of a similar nature.
(iii)Even if an applicant is enlisted, such enlistment is liable to be cancelled, if at any time in future, NESCL gets possession of information on events/circumstances that would disqualify said applicant for enlistment under this scheme.
10.0Decision of NESCL, that any of the events specified under Para 9 has occurred, shall be final & conclusive.
