I.NTPC invites on-line bids on Single Stage Two Envelope Bidding basis (Envelope-I: Techno-commercial Bid & Envelope-II: Price Bid) from Eligible Bidders for “Contract for Assistance in O&M of Ash handling system in Stage II (2x660MW) of Tanda” as per Scope of Work mentioned hereinafter.

II.Brief Scope of Work

1.Operation & maintenance and O/H of fly ash evacuation system from ESP Hoppers and APH hoppers including vacuum and pressure ash conveying along with transport air compressors and driers and its associated system.

2.Operation & maintenance and O/H of HCSD system including HCSD silo and its associated system.

3.Operation & maintenance and O/H of Fly ash silo and its associated system.

4.Operations & maintenance and O/H of Instrument/transport air and its drier and its associated system.

5.Operations & maintenance and O/H of bottom ash system its associated system including bottom ash pipe line.

6.Operations & maintenance and O/H of Bottom ash slurry pumping system & ash water system associated and its associated system.

7.Operations & maintenance and O/H of Bottom ash & HCSD discharge line including ash dyke AWRS system and its associated system.

8.Operations & maintenance and O/H of Over flow system, its assoiated pump, surge settling tank and system & associated system.

9.The above scope of work is tentative, however all the works in complete AHP will be within the scope of contract.

10.Any types of O&M work to be carried out as per EIC instructions.

The detailed scope and description of work covered under this package has been specified in relevant clause of Detailed Technical Specification.

As per provisions of Bidding Documents, the Bidders shall submit “Techno-Commercial Proposal” and “Price Proposal” online (https://eprocurentpc.nic.in/nicgep/app), within the bid submission date and time as mentioned above. Only Techno-Commercial proposals will be opened on the date and timed mentioned above.

IV.

All bids must be accompanied by Tender Fees (Cost of Bidding Documents) and Bid

 

Security (EMD). Bid Security and Tender Fees shall be submitted in a sealed

 

envelope separately offline by the stipulated bid submission closing date and time at

 

the address given below.

Any bid without an acceptable Tender Fees (Cost of

 

Bidding Documents) and Bid Security shall be treated as non-responsive and shall

 

not be opened.

 

V.Qualifying Requirements for Bidders:

1.0

The

bidder

should

have erected

and

commissioned Dry Fly Ash Handling

 

System of

Coal based Power Station of capacity 1000MW

or

above

in India

 

with in the preceding seven (07) years prior to the date

 

of techno

 

commercial bid opening.

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

OR

 

 

 

 

 

 

 

 

The bidder should have executed the works of „Operation and

 

Maintenance’/‘Maintenance’ of Ash Handling

System

with

 

Dry

Fly

 

Ash

Evacuation

System

of

Coal based Power Station of capacity

 

1000MW or above in India for a period of two years or more in a single contract

 

or

repeat

contract

within the preceding seven (07) years prior to the date of

 

techno commercial bid opening.

 

 

 

 

 

 

 

 

 

 

2.0

Financial Criteria

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

2.1

The

average annual turnover of

the Bidder in the preceding three (3)

 

financial years as on the date

of Techno-Commercial bid opening, shall not be

 

less than Rs. 357 Lakhs (Rupees Three Hundred Fifty Seven Lakh only).

 

 

 

In case the bidder does not satisfy the average annual turnover criteria, stipulated

 

above on its own, its Holding

Company

would be

required

to

meet

the

 

stipulated turnover requirements as

above, provided

that the net worth of such

 

Holding Company as on the last day of the preceding financial year is at least

 

equal to or more than the paid-up

share capital of the Holding Company. In

 

such an event, the bidder would be required

to

furnish

along

with

its

 

Techno-Commercial bid, a Letter of Undertaking from the Holding Company,

 

supported by the Holding Company‟s Board Resolution as per the format enclosed

 

in the bid documents, pledging unconditional and irrevocable financial support for

 

the execution of the Contract by the Bidder in case of award.

 

 

 

 

 

 

 

2.2

The Net Worth of the bidder as on the last day of the preceding financial year

 

(reckoned on the date of techno-commercial bid opening) should not be less than

 

100% of the Bidder‟s paid-up share capital. In case the Bidder meets the

 

requirement of Net worth based on the strength of its Subsidiary (ies) and/or

 

Holding Company and/or Subsidiaries of its Holding companies wherever

 

applicable, the Net worth of the Bidder and its subsidiary (ies) and/or Holding

 

Company and/or subsidiary (ies) of the Holding Company, in combined manner

 

should not be less than 100% of their total paid-up share capital. However

 

individually, their Net worth should not be less than 75% of their respective paid-up

 

share capitals.

 

 

 

 

 

 

 

 

 

 

 

 

Net worth in combined manner shall be calculated as follows:

 

 

 

 

 

 

Net worth (combined) = (X1+X2+X3) / (Y1+Y2+Y3) X 100

 

 

 

 

 

 

Where X1, X2, X3 are individual Net worth which should not be less than 75% of

 

the respective paid up share capitals andY1, Y2, Y3 are individual paid up share

 

capitals.

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

 

2.3

In case the

bidder is not able to

furnish its audited financial statements on

 

standalone entity basis, the unaudited unconsolidated financial statements of the

 

bidder can be considered acceptable provided the bidder further furnishes the

 

following documents for substantiation of its qualification :

 

 

 

 

 

 

(i)Copies of the unaudited unconsolidated financial statements of the bidder along

 

with

copies

of the

audited consolidated

financial

statements

of

its Holding

Company.

(ii)A Certificate from the CEO/CFO of the Holding Company, as per the format enclosed in the bidding documents, stating that the unaudited unconsolidated financial statements form part of the consolidated annual financial statements of the Holding Company.

In case where audited results for the last financial year as on the date of techno commercial bid opening are not available, the financial results certified by a practising Chartered Accountant shall be considered acceptable. In case, Bidder is not able to submit the certificate from practising Chartered Accountant certifying its financial parameters, the audited results for the three consecutive financial years preceding the last financial year shall be considered for evaluating the financial parameters. Further, a Certificate would be required from the CEO/CFO as per the format enclosed in the bidding documents stating that the financial results of the Company are under audit as on the date of Techno- commercial bid opening and the Certificate from the practising Chartered Accountant certifying the financial parameters is not available.

NOTES FOR CLAUSE 2 ABOVE :

(i)Net worth means the sum total of the paid up share capital and free reserves. Free reserve means all reserves credited out of the profits and share premium account but does not include reserves credited out of the revaluation of the assets, write back of depreciation provision and amalgamation. Further any debit balance of Profit and Loss account and miscellaneous expenses to the extent not adjusted or written off, if any, shall be reduced from reserves and surplus

(ii)Other income shall not be considered for arriving at annual turnover

(iii)"Holding Company" and "Subsidiary" shall have the meaning ascribed to them as per Companies Act of India.

(iv)For Turnover indicated in foreign currency, the exchange rate as on seven (07) days prior to the date of techno-commercial bid opening shall be used

(v)All financial figures mentioned above are exclusive of GST

VI. As a proof of meeting the qualifying requirements, the scanned copies of the following documents will be required to be uploaded in the technical folder.

a)(i) Award letter / Work Order with bill of quantities (ii) proof of value of work executed as mentioned at (b) below

b)Documentary evidence issued by the employer as proof of value of work executed clearly indicating (i) the executed value of the work and (ii) period (giving start date and end date) during which the work has been executed, in the form of job completion certificate / final deviation order / copies of measurement book (R/A bills). An employer means Government / Large Industrial Organizations / Public Sector Enterprises.

c)“Copies of Balance Sheet and Profit & Loss Accounts as audited by a practicing Chartered Accountant or Certificate of Turnover issued by a Practicing Chartered Accountant clearly indicating the Books / Records / documents on the basis of which the Certificate is issued”.

Original documents for verifications shall be produced as and when called for.

d)Partnership deed/ affidavit for proprietorship/ certificate of incorporation/ articles of association etc with latest changes, if any.

e)Copy of Power of Attorney of Authorized Signatory (if applicable)

f)The bidder should have independent P.F. code number allotted by Regional Provident Fund Commissioner. Copy of PF code allotted by RPFC must be submitted with technical bid.

g)Copy of Sales Tax registration, GSTIN registration & Permanent Account Number (PAN)

VII NTPC reserves the right to reject any or

all bids or cancel/withdraw the NIT for the

subject package without assigning any

reason whatsoever and in such case no

bidder/intending bidder shall have any claim arising out of such action.

VIII. The bidding document is available online. A complete set of Bidding Documents may be downloaded by any interested Bidder from the NTPC tender website https://eprocurentpc.nic.in. The Bidder would be required to register on the website.

First time users are required to register themselves on NTPC tender website (https://eprocurentpc.nic.in) after filling up the required details. Users whose email address has not been linked to a vendor code allotted by NTPC/ first time users not allotted any vendor code by NTPC, should send a copy of the registration details to the e-mail address specified in this NIT under Address for Communication with following details at least three working days prior to Technical Opening Date:

d)Email ID and Contact No.

e)Name and Designation of the contact person

f)Cancelled cheque & E.F.T form duly verified by bank Note: No Hard Copy of bidding documents shall be issued.

IX. Micro and Small Enterprises (MSEs) registered with District Industries Centres or Khadi and Village Industries Commission or Khadi and Village Industries Board or Coir Board or National Small Industries Corporation or Directorate of Handicrafts and Handloom or any other body specified by Ministry of Micro, Small and Medium Enterprises as per MSMED Act 2006, for goods produced and services rendered, shall be issued the bid documents free of cost and shall be exempted from paying Earnest Money Deposit.

Tenderers seeking exemption should enclose a photocopy of valid MSME/SSI/NSIC to the Package Coordinator / DGM (C&M) at the address given below along with the Offline bid (Physical bid) as per ITB/ BDS clause on or before last date of bid submission and scanned copy of the same should be furnished online in Cover type Fee.

Bidders may refer ITB/ BDS for detailed provisions in this regard.

X.Issuance of bid documents to any bidder shall not construe that such bidder is considered to be qualified. Bids shall be submitted online and opened at the address given below in the presence of Bidder‟s representatives who choose to attend the bid opening.
