3.0 ‘Tender Fee’ (non-refundable), ‘EMD/Bid Security’ & ‘Integrity Pact’ shall be  
submitted in sealed envelopes separately before the stipulated bid submission  
closing date and time at the address given at para 10.0 below. Any bid without an  
acceptable ‘Tender Fee’, ‘EMD/Bid Security’, and ‘Integrity Pact’ shall be treated as  
non-responsive by NTPC and shall not beopened.

.0 A complete set of Bidding Documents may be downloaded by any interested  
Bidder. Tender fee (non-refundable) of requisite value is to be paid in a separate  
envelope up to last Date for Bid Submission in the form of a crossed account  
Payee demand draft in favour of NTPC Ltd., Payable at SBI, NTPC Barh Campus,  
Barh STPP, Patna of the cost of the Bid documents.  
For logging on to the GePNIC Site, the bidder would require user id and password  
which can be obtained by enrolling at GePNIC site. First time users not allotted  
any vendor code are required to approach NTPC at least Seven working days prior  
to last Date for Bid Submission .  
5.0 Brief Scope of Work:  
Deployment of Manpower (Shift-charge Engineer, Control Engineers &  
Chemist/Chemical Analyst) for Operation of unit No. 6 & 7 (2x110 MW) & unit  
NO.8 & 9 (2x250 MW) at NTPC Barauni, Barauni Thermal Power Station for two  
years.

.0 Prospective bidders from U.P. State are compulsorily required to provide TIN number at  
the time of purchase of Bid Documents.

.0 Qualification Requirements for Bidders :

.0 Route 1  
.1 Bidder should be in field of operation of a 110 MW & above Thermal Power Plant and  
should have executed the work of “providing manpower for operation of at least 01 (One)  
thermal Power Unit of 110 MW & above capacity for a period of continuous one year in last 7  
years prior to the date of techno-commercial bid opening.  
OR  
The Bidder should have experience of “ having designed, supplied, erected/ supervised  
erection ,commissioned/ supervised commissioning and carry out the performance/Guarantee test  
of Boiler, Steam Turbine  
Unit.”  
and Generator of at least 01 (One) 110 MW thermal Power Plant

.2 The bidder should have executed / completed the similar works meeting any one of  
the following criteria in preceding seven (07) years, prior to the date of Techno-Commercial  
Bid Opening:  
a) Single order of value not less than INR 12.29 Crores  
OR  
b) Two orders of value not less than INR 7.68 Crores each  
OR  
c) Three orders of value not less than INR 6.15 Crores each  
Similar Work means work related to Complete Operation (DCS & Field) and/or Comprehensive  
O&M (Complete Operation (DCS & Field) & Maintenance) of Thermal Power Plant.

.0 Route 2  
.1 Bidder should have experience of operation of at least 01 (One) thermal Power Unit of  
10 MW & above capacity in Self owned thermal Power Plant for a period of continuous  
one year in last 7 years prior to the date of techno-commercial bid opening.  
In such a case notarized undertaking is required to be submitted by bidder.

.0 Route 3  
.1 Bidder should have experience of carrying out Renovation/refurbishment (Site works) of at  
least One Thermal Power Unit of 110MW or above Capacity i.e., Boiler and Steam  
turbine in a single or maximum two orders can also be considered qualified provided it  
associates with a party who meets the qualifying requirement stipulated at Route 1 or Route 2  
above .The bidder shall along with the bid furnish an undertaking jointly executed by him  
and the associate for the successful performance of contract as per the format enclosed in  
the bidding documents in which the Bidder and Associate are jointly and severally liable to  
the employer to perform all the contractual obligations  
In case of award, the Associate will be required to furnish an on demand Bank Guarantee for

%(two percent) of the contract price in addition to the Contract Performance Security to be  
furnished by the Bidder.

.1 The average annual turnover of the bidder in the preceding three (3) financial years as  
on the date of Techno-Commercial bid opening, should not be less than INR 7.68 Crore.  
In case a Bidder does not satisfy the average annual turnover criteria, stipulated above on its  
own, its Holding Company would be required to meet the stipulated turnover  
requirements as above, provided that the Net Worth of such Holding Company as on the  
last day of the preceding financial year is at least equal to or more than the paid up share  
capital of the Holding Company. In such an event, the Bidder would be required to  
furnish along with its Techno-Commercial bid, a Letter of Undertaking from the Holding  
Company, supported by the Holding Company's Board Resolution as per the format enclosed  
in the Techno-Commercial bid documents, pledging unconditional and irrevocable financial  
support for the execution of the Contract by the Bidder in case of award

.2 Net Worth of the bidder should not be less than 100% of the bidder’s paid up share  
capital as on the last day of the preceding financial year of the date of Techno-Commercial bid  
opening. In case the Bidder does not meet the Net Worth criteria on its own, it can meet the  
requirement of Net worth based on the strength of its Subsidiary(ies) and/or Holding  
Company and/or Subsidiary(ies) or its Holding Companies, wherever applicable. In such a  
case, however, the Net worth of the Bidder and its Subsidiary(ies) and  
/
or Holding  
company and/or Subsidiary(ies) of the Holding company, in combined manner should not  
be less than 100%( one hundred percent) of their total paid up share capital. However  
individually , their Net worth should not be less than 75% (seventy five percent) of their  
respective paid up share capitals.  
Net worth in combined manner shall be calculated as follows:  
Net worth (combined) = [(X1+X2+X3)/ (Y1+Y2+Y3)]X100  
where X1, X2, X3 are individual Net worth which should not be less than 75% of the respective  
paid up share capitals and Y1, Y2 , Y3 are individual paid up share capitals  
In case the Bidder is not able to furnish its audited financial statements on stand alone entity  
basis, the unaudited unconsolidated financial statements of the Bidder can be considered  
acceptable, provided the Bidder further furnishes the following documents for substantiation of its  
qualification.  
i) Copies of the unaudited unconsolidated financial statements of the Bidder along with copies  
of the audited consolidated financial statements of its Holding Company.  
ii) A Certificate from the CEO/CFO of the holding Company, as per the format enclosed  
with the bidding documents, stating that the unaudited unconsolidated financial statements  
form part of the Consolidated Annual Financial Statements of the company.  
In cases where audited results for the last financial year as on the date of the Techno-  
Commercial Bid opening are not available, the financials results certified by  
practicing Chartered Accountant shall be considered acceptable.

In case Bidder is not able to submit the certificate from practicing Chartered Accountant  
certifying its financial parameters, the audited results of three consecutive financial years  
preceding the last financial year shall be considered for evaluating the financial  
parameters.  
Further, a Certificate would be required from the CEO/CFO as per the format enclosed in  
the bidding documents stating that the financial results of the Company are under audit as  
on the date of Techno-Commercial bid opening and the Certificate  
practicing Chartered Accountant certifying that financial parameters is not available  
from  
the  
NOTE:  
a)  
In clause 1.1&1.2 above, the word “executed” means the bidder should have achieved  
the criteria specified in the qualifying requirements, within the preceding seven (7) years  
period, even if the contract has been started earlier and /or is not completed / closed.  
Remarks:  
i) Bidder must submit requisite credentials in support of having met the qualifying requirement.  
A summary sheet of all documents need to be submitted along with the technical offer.  
Summary Sheet should clearly describe the eligibility credentials. Credentials may include:

the bidder in the ratio of bidder’s share in the integrated Joint Venture Agreement, provided the  
bidder establishes that it regularly undertakes works as at clause 1.0,2.0 & 3.0(as applicable)  
above. The executed works/quantities by integrated Joint Venture shall be duly authenticated  
by the Project Authority.

iv) Reference work executed by a bidder as sub-contractor may also be considered. In  
a
such a case, the bidder shall submit the documentary evidence in support of above.  
(v) In case of composite work/BOQ, the bidder shall have to furnish Certificate from Owner  
certifying the specific nature of work, as mentioned in

account and miscellaneous expenses to the extent not adjusted or written off, if any, shall  
be reduced from reserves and surplus.  
d)“Holding Company” and Subsidiary Company” shall have the meaning ascribed to it as per  
Companies act of India  
e) For amount in foreign currency, the exchange rate as on seven(7) days prior to the date  
of Techno-Commercial bid opening shall be used.

.0 Issuance of Bidding Documents to any bidder shall not construe that bidderis  
considered qualified.

.0 NTPC reserves the right to reject any or all bids or cancel/withdraw the NIT/IFB forthe  
subject package without assigning any reason whatsoever and in such caseno

Bid Security (EMD):  
Bidder has to submit Earnest Money Deposit (EMD) in hard copy (offline) of requisite  
value in a separate envelope super scribing “EMD Envelope”, which must reach the office  
at the address mentioned at Sl. No. 10.0 before the bid submission deadline as mentioned  
in the e-tender of our GePNIC system.  
i. EMD Envelope” should contain the EMD of requisite value, strictly in valid form as  
mentioned below at sl. no. iii. a) / b) as per applicability or valid supporting document in  
support of seeking exemption of EMD as iii. c).  
ii. If Bid Security (EMD) in Original of any agency is not received in  
envelope, their bid shall not be opened. If the EMD amount submitted by any agency

is less than the stipulated EMD, their offer shall be rejected.  
iii. EMD may be furnished in any of the followingforms:  
a. For EMD amount of any value:  
Pay Order / Cross Demand Draft / Banker’s Cheque in favor of NTPC Limited,  
payable at Patna.  
b. In case EMD amount is >Rs 50,000.00 then, besides above:  
Bank Guarantee (BG) from a Nationalized Bank / other banks (as per NTPC approved  
list) also will be acceptable. Format of BG against Bid Security and List of Banks for  
Bid Security are attached. BG should be unconditional and irrevocable and should be  
valid for a period of 45 days beyond the bid validity period. The Bank Guarantee  
Verification Check List duly filled in as per format attached has to be submitted in this  
regard. Bidder shall ensure that all the points of check list are replied in“Yes”.  
c. SSI units of Bihar / SSI units (of other states) registered with the National Small Scale  
Industries Corporation shall be exempted from the payment of Earnest Money  
Deposit. Bidders seeking exemption should submit a Photocopy of valid registration  
certificate preferably attested by Notary / Gazetted Officer/ Magistrate 1st class,  
giving details such as validity. Exemption certificate may be uploaded Onlinealso.  
d. Submission of EMD is exempted for IIMs/IITs/ NITs/IISc./ CBRI/CPRI/  
GSI/CWPRS/ CWC and other Govt. Institutes/agencies (excluding PSUs).  
e. In case of any doubt on eligibility of such exemption/concession, bidder may get  
clarification from NTPC official before submission of his bid.  
f. The Bid Security of all the unsuccessful Bidders will be returned after finalization ofthe  
contract.  
g. The Bid Security shall be forfeited in any of the following circumstances byNTPC  
without any notice or proof of damage to the Owner:  
1.  
If the Bidder withdraws or varies its Bid during the period of Bid validity specified  
by the Bidder in the BidProposal.  
2.  
In case the Bidder does not accept the corrections towards the discrepancies in their  
bid, where ever the breakup of prices have been asked separately.  
3.  
If any deviation, variation or additional condition etc. found anywhere in our  
technical and / or / Price Bid implicit or explicit, shall stand unconditionally  
withdrawn, without any cost implication whatsoever to employer, failing which the  
bid security shall be forfeited.  
4.  
In the case of a successful bidder, if the bidder fails within the specified time limit  
to furnish the acceptance of Letter of Award / Purchase Order.  
5.  
In the case of successful Bidder, if the Bidder fails, within the time limit, to furnish  
the required Contract Performance Guarantee in case the same is required as per  
conditions of the P.O / LOA.  
6.  
If the bidder / their representative commit any fraud while competing for this  
contract pursuant to Fraud prevention policy ofNTPC.  
h. No interest shall be payable by NTPC on the BidSecurity.  
i. ANY BID NOT ACCOMPANIED BY A BID SECURITY IN A SEPARATE  
SEALED ENVELOPE, SHALL BE REJECTED BY NTPC AS BEING NON  
RESPONSIVE AND RETURNED TO THE BIDDER WITHOUT BEING  
OPENED.  
GTE Compliance:  
No deviation, whatsoever, is permitted by NTPC to any provisions of bidding Documents.  
The Bidders are required to confirm acceptance of compliance to all Provisions of Bidding  
Documents on line (GTE COMPLIANCE)  
Only after acceptance of all GTE provisions, the bidder’s bid shall be opened.  
Clarification on Bidding Documents:  
Bidder can seek clarifications through e-mail or in hard copy up to the time specified as in  
the Bid documents.  
The queries will be replied by NTPC and posted in the GePNIC Portal. The bidders can  
view all queries and all answers once the same are posted in the GePNIC Portal.

shall be liable for rejection:

5.0 Participation in the tender does not automatically mean that the bidders are considered  
qualified. NTPC shall evaluate the Qualifying Requirement of each bidder as per NIT after  
opening of Technical Bids and the bid of the bidder who is not meeting the Qualifying  
Requirement shall not be considered.

6.0 NTPC reserves the right to reject any or all bids or cancel/withdraw the invitation for  
bids/IFB without assigning any reason whatsoever and in such case no bidder/intending  
bidder shall have claim arising out of such action.

SCOPE OF WORK

Scope of Work  
The Objectives are as under:-  
a)The agency will be responsible for all its manpower and ensure each and every operation strictly in accordance to the  
operating parameters of each equipment and plant as a whole for smooth and desired level of operation/achieving rated  
efficiency/output.  
NB:- Operating parameters of equipments/plants will be made available to the successful bidder in consultation with  
GM(O&M), BTPS,Barauni or his authorized representatives.  
b)To produce the best efficiency of the plant and to minimize the overall operating and maintenance cost (including fuel and  
inventory costs) of the plant and in a manner consistent with the available / standard operational procedures/ parameters of  
the plant and so as not to vitiate or annul any aspects so provided.  
c)To operate all the equipments and plant in accordance to the guidelines of manual for the respective equipments.  
d)Not to cause any outage, except for schedule outages and so as to minimize scheduleoutages.  
e)To take all actions which is reasonably necessary in the circumstances to protect the plant from possible damage?  
1. Contract Period & Extension  
Contract for the said services shall remain in force for a period of Twenty four (24) Months from the date of execution of  
contract. The same can be extendable by a further period of Twelve (12) Months on same rate, same terms and conditions,  
on approval of NTPC, Barauni.  
2. Scope of Service  
The scope is to operate:-  
The Owner is intending to procure the Services of:  
Contractor for supply of Manpower (Shift #charge Engineer, Control Engineers & Chemist/Chemical Analyst)for smooth  
Manning and Operation of Unit No. 6&7 of 2x110 MW & Unit No. 8 & 9 of 2x250 MW units at Barauni Thermal Power  
Station in District Begusarai, Bihar on behalf of the Owner so as to,  
a)generate electricity from the Plant and provide electricity on behalf of the Owner  
b)schedule and co-ordinate deliveries, and perform all duties and responsibilities of the Owner  
c)Shift Charge Engineer will co ordinate with Shift In-charge of CHP operation, Engineers of general shift of operation and  
maintenance manpower for smooth operation of the plant and  
d)Operate and administer the Plant as per instruction of NTPC, BTPS Barauni.  
3. General Services to be provided by the Contractor  
The Owner is contracting for the Services of the Contractor, as an independent contractor, to (a) Contractor for supply of  
Manpower (Shift #Charge Engineer, Control Engineers & Chemist/Chemical Analyst) for smooth Manning and Operation of  
Unit No. 6&7 of 2x110 MW & Unit No. 8 & 9 of 2x250 MW, Barauni Thermal Power Station in District Begusarai, Bihar on  
behalf of the Owner so as to, (b) generate electricity from the Plant to provide electricity on behalf of the Owner (c)  
schedule and coordinate deliveries of, handle, store and reload Coal and Secondary Fuel within boundary of the Plant and  
perform all duties and responsibilities (other than payment responsibilities) of the Owner and (d) otherwise operate the  
Plant. Contractor will also assist in energy audits for the improvement in the performance of the units.

Subject to any Directives, the provisions of the Agreement and Prudent Utility Practices, Contractor shall operate  
the Plant in accordance with Dispatch Instructions of Owner.  
The Contractor shall abide by the terms, conditions and requirements for the operation of the Plant set forth in  
2)  
this Agreement, and the Contractor shall co- operate in good faith with and assist the Owner in administering and  
complying with the Plant and OPERATION Agreement and maximizing the benefits to be derived by the Owner there under.  
Any new or changed requirements contained in any amended, additional orreplacement.  
3)The Services shall be performed in accordance with the express and implied standards and requirements  
limitation, in accordance with directives of the NTPC Barauni.  
a)All applicable laws and all Permits.  
b)Dispatch Instructions, instructions and operational rules and performance standards and procedures of the requirements.  
c)so as not to cause any outage, except for Scheduled Outages and so as to minimize Scheduled Outages;  
d)so as to produce the most efficient heat rate and efficiency of the Plant and to minimize the overall operating  
and costs (including fuel and inventory costs) of the Plant.  
e)In a manner consistent with insurance policies maintained on behalf of the Owner in relation to any or all of the Plant  
and so as not to vitiate or annul any cover afforded by such a policy ofinsurance.  
f)operate the Plant from handover of unit to end of Contract period, the remainder of the Plant on a twenty-four (24) hours  
per day, seven (7) days per week basis;

g)perform, or cause to be performed, all operation and inspections of the Plant, including routine inspections, perform,  
monitor and manage daily and preventative, periodic scheduled inspections, and scheduled planned, major, and overhauls  
for the Plant as envisaged by the Annual Operating Plan.  
h)direct, super vise and train the OPERATION Staff in the operation of the Plant;  
i)operate and maintain metering equipment and perform or cause to be performed inspections, calibrations (including  
calibration of electrical metering, equipment and devices), metering and tests (i) for which the Owner is responsible; (ii)  
as may be required by Prudent Utility Practices or this Agreement;  
j)ensure the safety of the Plant and all of the Contractor Staff, and other personnel employed by Contractor for the  
Service and other individuals and invitees who are at any time on the Site, including through the development and  
observance of an appropriate safety program;  
k)attend meetings relating to the operation and of the Plant or to any Permit or any application thereof;  
l)take all action which is reasonably necessary in the circumstances to protect the Plant from possible damage  
associated with or caused by electrical disturbance or faults.  
m) to the extent not inconsistent with the Technical Limits and Prudent Utility Practices and with the protection of the  
Plant, operate and maintain the Plant in a manner that does not have an adverse effect on NTPC, Barauni voltage  
level or frequency;  
n)operate the Plant so as to achieve the maximum capacity;  
o)as and when required by the Owner, perform or cause to be performed tests and provide the Owner with written  
reports on the results thereof;  
p)notify the Owner immediately of discovery of any unusual adverse operating condition or characteristic which cannot be  
immediately corrected by the Agency;  
q)assist the Owner, as reasonably appropriate, with any community or public relations that the Owner may undertake;  
r)adopt and use quality management systems and statistical techniques such as total productive and mean time  
between failure analysis;  
s)assist and cooperate with the Owner, as and when requested,  
t)prepare and implement daily log sheets and documents for faults, outages, materials and consumables usage, Plant  
performance, accounting books and records of the Plant;  
u)provide on-going and refresher training on-Site in power station operation and for all OPERATION Staff;  
v)prepare, update and maintain on a daily basis a work order system and tag-out documents;  
w)manage outages in a manner that is consistent with lowest cost, the obligations of the Owner, best utilization of labor,  
and parts, and maximization of productivity;  
x)Provide first aid for on-Site emergency medical treatment;  
y)Prepare the plant and systems for inspections and allow inspections of the Plant by NTPC,Barauni Authorities;  
z)Establish and maintain good relations with personnel of the existing Facility and with the local community;

Bidders shall undertake that in case of award they will appoint personnel having minimum education qualification &

Ø Qualification / Experience of all the personnel shall be submitted by the bidder to the NTPC, Barauni TPS who may ask  
the bidder to appoint or remove any personnel on the ground of his qualification / experience or his conduct any time during  
the period of award. In case of incorrect information related to qualification / experience is furnished by the firm, suitable  
penalty shall be imposed.  
Ø NTPC, Barauni TPS reserves the right of doing background check for the qualification of employees deputed by Service  
provider. A copy of CV for all employees shall be submitted to NTPC, Barauni TPS.CV to be submitted after signing of  
agreement & before actual start of work.  
5. Deployment of Services / Effective date & Commencement of Manpower operations.  
Agreement shall be executed within 10 days of issuance of Letter of Intent (LoI) by NTPC, Barauni TPS. The Effective date  
of commencement of deployment of manpower shall be 10 Days from the date of Agreement.  
6.  
Liquidated Damages.  
Liquidated damages for delay  
In case of delay in deployment of services, Liquidated damages not exceeding an amount equal to 0.5% (zero point five  
percent) of the Agreement value per week, or part there of subject to a maximum of 10 % (ten percent) of the agreement  
value will be imposed and shall be recovered by appropriation from the Performance Security or otherwise. However in case  
of delay due to reasons beyond the control of the Agency, suitable extension of time shall be granted by NTPC, BARAUNI  
TPS at its sole discretion.  
Penalty for deficiency in Services  
In addition to the liquidated damages not amounting to penalty, as specified in clause 10, warning may be issued to the  
Agency for minor deficiencies on its part. In case of significant deficiencies in services causing adverse effect on the project  
or on the reputation of the authority, other penal action including debarring for a specified period may also be initiated as per  
policy of the Authority.  
7. Facilities to be provided by the Firm  
The Bidder should also make his own arrangements for transportation of their employees for On-time Duties to the Power  
House. No any amount shall be payable for any such type of services or claims etc. However, accommodation may be  
provided (If available) on chargeable basis by NTPC BTPS. Electricity charges will be charged As per Consumption.

9. Actions to be taken in case of Negligent or collusive behavior  
NTPC, BARAUNI TPS reserves the rights to verify the services at desired timeframe. In case, during such subsequent  
verification if the standards are found to be not conforming to prescribed standards, appropriate action as may deem fit,  
including but not limited to following, may be taken by the NTPC, BARAUNI TPS :-.  
a) Summary termination of this contract,  
b) Levy of penalty as deemed to be fit.  
c) Recovery of fees, if already paid; and damages if any.  
d) Decision of the NTPC, BARAUNI TPS , as to whether the Service provider or any of his associates has indulged into  
negligent or collusive behavior shall be final and binding on the Service provider.  
10. Penalties  
a. In case the number of manpower (Shift #Charge Engineer, Control Engineers & Chemist/Chemical Analyst) supplied by  
the Service provider is less than the agreed number, a penalty of double the rate for said manpower as mentioned in the  
LOA in addition to non-payment of the charges for the period of absence on pro rata basis for the month, will be levied.  
b. If there is mal operation /faulty operation , undesired operation , which may cause damage or result in damage in future to  
the equipment/plant by any manpower/ Agency, Penalty as decided by the co-ordination committee will be levied to the  
contractor, however the total value of the penalty will not exceed 10 % (ten percent) of theawarded cost.  
The Co-ordination Committee members will be as under:-  
CGM-, NTPC, Barauni TPS # Chairman with Veto-Power.  
GM (O&M), NTPC, Barauni TPS # Member.  
HOD(Operation), NTPC, Barauni TPS # Member.  
Contractor’s Representative # Member.  
c. Upon the written directions of the Engineer-In-Charge of NTPC, BARAUNI TPS , the Service provider shall immediately  
remove from the works any person or persons deployed thereon, who may in the opinion of the Engineer-In-Charge be  
incompetent or responsible for misconduct. Such persons shall not be employed again on the works without the written  
permission of the Engineer-in-charge, or such other officer so authorized for such purpose.  
d. It shall be accepted as an inseparable part of the contract that in matters regarding competency, efficiency, conduct and  
behavior, the decision of the Engineer-In-Charge, NTPC, and BARAUNI TPS shall be final and binding on the Service  
provider in all such matters.  
e. In case it is found that any theft or damage has occurred to the property or premises of the NTPC, BARAUNI TPS due to  
negligence of personnel in performing his/ her duty and /or absence from the place of duty and/or not providing substitute by  
the Service provider or any other reason, the cost of all such losses or damages as assessed by NTPC, BARAUNI TPS shall  
be recovered from the Service provider’s monthly bill or from his security deposit.  
f. The Service provider shall be fully responsible to deal with all kind of suits/claims/penalty etc. from any person,  
organization or authority etc. In case NTPC, BARAUNI TPS is implicated in any law/suit on account of not fulfilling of any or  
all obligations under any law or due to performing the duties by any personnel of the Service provider, all cost of defending  
such suit settlement of claims penalty etc. shall be borne by the Service provider or recovered from the due amounts  
payable to the Service provider and/or from the security deposit held by NTPC, BARAUNI TPS.  
g. The personnel supplied by the Service provider shall be of sound physical & mental health and should not be under the  
influence of any drug or liquor during duty and have full knowledge & experience to competently complete the job assigned  
to them.  
h. In case any executives/personnel of the Service provider is implicated in any law suit or is injured by any  
executive/personnel or group of executives/personnel agitating mob etc. during the course of performing his duty/their duties  
for NTPC, BARAUNI TPS it shall be the sole responsibility of the Service provider to defend its executives/personnel in the  
court of law or to extend all medical and financial help etc. without charging cost to the NTPC, BARAUNI TPS .  
i. NTPC, BARAUNI TPS shall be deemed to be indemnified by the Service provider for lapses or other mischievous etc by its  
executives/personnel.  
j. In case the wrong information in respect of qualification of personnel is found, a penalty equal to three times billing done  
for the specific wrong person/profile may be levied by NTPC, BARAUNI TPS on the Serviceprovider.  
k. If any complaint is received against any of the Executive/personnel or the performance of particular personnel is found to  
be lacking in the opinion of Engineer in Charge, NTPC, BARAUNI TPS , then the Service Provider will be informed about the  
complaint(s)/performance deficiency and they would be required to take necessary remedial action immediately to avoid  
recurrence of such an event. It may attract a penalty of Rs. 1,000/- per complaint per person and in grave cases terminate  
the contract.  
l. High level of discipline is expected from all deployed personnel, EIC Reserves the right to entry on this basis. The decision  
of EIC will be final in this regard.  
m. The contractor shall provide all personal protective equipment (like Helmet,safety shoes, Gloves, nose mask, Ear plug  
etc.). All the PPE should be good quality and may be inspected by EIC/Safety officer of NTPC at any time. If any deploy  
personnel found without PPE , a penalty of Rs- 500 will be imposed per person per occasion.  
n. Cost of equipment if damaged due to negligence by the contractor’s employee, the same will be recovered from the

contractor’s bill.  
11. Other Requirements of Personnel  
a) The office hours for the personnel would be as decided by Engineer-In-Charge.  
b) Distribution of duties and their timings of manpower shall be decided by Engineer-In-Charge based on business  
requirements. The services will be meant for 24 hours operations of the Power Plant on all 7 days of the week, throughout  
the year (without any off/holiday).  
c) The bidder shall adhere to Labor Laws and Contract Act-1970 and any other labor law as may be applicable now and in  
the future.  
d) The bidder should be able to increase staff as and when required by NTPC, BARAUNI TPS within 7 days of demand at  
the same awarded rate and terms and conditions.  
e) The man power deployed, for all practical purposes, will be the responsibility of the bidder alone and under no  
circumstances they would claim to be the employees of NTPC, BARAUNI TPS. The bidder will nominate one person who will  
take care of the persons deployed for NTPC, BARAUNI TPS at BTPS, Begusarai for their welfare and duties and mentioned  
person will have his/her local residence nearby BTPS, Begusarai.  
f) The manpower to be supplied by the contractor will be purely with the bidder. The contractor’s employees shall have no  
right of claim of employment under NTPC, BARAUNI TPS .  
g) It will be binding on the persons manning the BTPS, Begusarai not to possess and divulge internal system information to  
any outsider. If any such activities are observed, it will be binding on the part of the bidder to remove the person from the  
BTPS, Begusarai. NTPC, BARAUNI TPS shall have the right to file a legal case against the contractor/ Executive/  
Supervisor in such cases.  
h) The persons manning at BTPS, Begusarai will have to update themselves about the relevant activities/services of NTPC,  
BARAUNI TPS for which they will be briefed by NTPC, BARAUNI TPS from time to time.  
i) NTPC, BARAUNI TPS reserves the right to disqualify such bidders who have a record of not meeting the contractual  
obligations against contracts, entered in to with NTPC, BARAUNI TPS.  
j) The bidder shall obtain a valid labour license under the contract labour (R&A) act 1970 and the contract labour (Regulation  
and abolition) central rules 1971, before commencement of the awarded work and continue to have a valid license until the  
completion of the work. The bidder shall also abide by the provisions of the child labour (Prohibition and regulation) act  
1986. Any failure to fulfill the requirement shall attract the penal provisions of the contract arising out of the resultant non  
execution of the work.  
k) The contractor shall abide with all applicable laws for the time being in-force.  
l) The manpower supplied by the contractor will be utilized in accordance with the statutoryprovisions.

Scope of Work  
The Objectives are as under:-  
a)The agency will be responsible for all its manpower and ensure each and every operation strictly in accordance to the  
operating parameters of each equipment and plant as a whole for smooth and desired level of operation/achieving rated  
efficiency/output.  
NB:- Operating parameters of equipments/plants will be made available to the successful bidder in consultation with  
GM(O&M), BTPS,Barauni or his authorized representatives.  
b)To produce the best efficiency of the plant and to minimize the overall operating and maintenance cost (including fuel and  
inventory costs) of the plant and in a manner consistent with the available / standard operational procedures/ parameters of  
the plant and so as not to vitiate or annul any aspects so provided.  
c)To operate all the equipments and plant in accordance to the guidelines of manual for the respective equipments.  
d)Not to cause any outage, except for schedule outages and so as to minimize scheduleoutages.  
e)To take all actions which is reasonably necessary in the circumstances to protect the plant from possible damage?  
1. Contract Period & Extension  
Contract for the said services shall remain in force for a period of Twenty four (24) Months from the date of execution of  
contract. The same can be extendable by a further period of Twelve (12) Months on same rate, same terms and conditions,  
on approval of NTPC, Barauni.  
2. Scope of Service  
The scope is to operate:-  
The Owner is intending to procure the Services of:  
Contractor for supply of Manpower (Shift #charge Engineer, Control Engineers & Chemist/Chemical Analyst)for smooth  
Manning and Operation of Unit No. 6&7 of 2x110 MW & Unit No. 8 & 9 of 2x250 MW units at Barauni Thermal Power  
Station in District Begusarai, Bihar on behalf of the Owner so as to,  
a)generate electricity from the Plant and provide electricity on behalf of the Owner  
b)schedule and co-ordinate deliveries, and perform all duties and responsibilities of the Owner  
c)Shift Charge Engineer will co ordinate with Shift In-charge of CHP operation, Engineers of general shift of operation and  
maintenance manpower for smooth operation of the plant and  
d)Operate and administer the Plant as per instruction of NTPC, BTPS Barauni.  
3. General Services to be provided by the Contractor  
The Owner is contracting for the Services of the Contractor, as an independent contractor, to (a) Contractor for supply of  
Manpower (Shift #Charge Engineer, Control Engineers & Chemist/Chemical Analyst) for smooth Manning and Operation of  
Unit No. 6&7 of 2x110 MW & Unit No. 8 & 9 of 2x250 MW, Barauni Thermal Power Station in District Begusarai, Bihar on  
behalf of the Owner so as to, (b) generate electricity from the Plant to provide electricity on behalf of the Owner (c)  
schedule and coordinate deliveries of, handle, store and reload Coal and Secondary Fuel within boundary of the Plant and  
perform all duties and responsibilities (other than payment responsibilities) of the Owner and (d) otherwise operate the  
Plant. Contractor will also assist in energy audits for the improvement in the performance of the units.

Subject to any Directives, the provisions of the Agreement and Prudent Utility Practices, Contractor shall operate  
the Plant in accordance with Dispatch Instructions of Owner.  
The Contractor shall abide by the terms, conditions and requirements for the operation of the Plant set forth in  
2)  
this Agreement, and the Contractor shall co- operate in good faith with and assist the Owner in administering and  
complying with the Plant and OPERATION Agreement and maximizing the benefits to be derived by the Owner there under.  
Any new or changed requirements contained in any amended, additional orreplacement.  
3)The Services shall be performed in accordance with the express and implied standards and requirements  
limitation, in accordance with directives of the NTPC Barauni.  
a)All applicable laws and all Permits.  
b)Dispatch Instructions, instructions and operational rules and performance standards and procedures of the requirements.  
c)so as not to cause any outage, except for Scheduled Outages and so as to minimize Scheduled Outages;  
d)so as to produce the most efficient heat rate and efficiency of the Plant and to minimize the overall operating  
and costs (including fuel and inventory costs) of the Plant.  
e)In a manner consistent with insurance policies maintained on behalf of the Owner in relation to any or all of the Plant  
and so as not to vitiate or annul any cover afforded by such a policy ofinsurance.  
f)operate the Plant from handover of unit to end of Contract period, the remainder of the Plant on a twenty-four (24) hours  
per day, seven (7) days per week basis;

g)perform, or cause to be performed, all operation and inspections of the Plant, including routine inspections, perform,  
monitor and manage daily and preventative, periodic scheduled inspections, and scheduled planned, major, and overhauls  
for the Plant as envisaged by the Annual Operating Plan.  
h)direct, super vise and train the OPERATION Staff in the operation of the Plant;  
i)operate and maintain metering equipment and perform or cause to be performed inspections, calibrations (including  
calibration of electrical metering, equipment and devices), metering and tests (i) for which the Owner is responsible; (ii)  
as may be required by Prudent Utility Practices or this Agreement;  
j)ensure the safety of the Plant and all of the Contractor Staff, and other personnel employed by Contractor for the  
Service and other individuals and invitees who are at any time on the Site, including through the development and  
observance of an appropriate safety program;  
k)attend meetings relating to the operation and of the Plant or to any Permit or any application thereof;  
l)take all action which is reasonably necessary in the circumstances to protect the Plant from possible damage  
associated with or caused by electrical disturbance or faults.  
m) to the extent not inconsistent with the Technical Limits and Prudent Utility Practices and with the protection of the  
Plant, operate and maintain the Plant in a manner that does not have an adverse effect on NTPC, Barauni voltage  
level or frequency;  
n)operate the Plant so as to achieve the maximum capacity;  
o)as and when required by the Owner, perform or cause to be performed tests and provide the Owner with written  
reports on the results thereof;  
p)notify the Owner immediately of discovery of any unusual adverse operating condition or characteristic which cannot be  
immediately corrected by the Agency;  
q)assist the Owner, as reasonably appropriate, with any community or public relations that the Owner may undertake;  
r)adopt and use quality management systems and statistical techniques such as total productive and mean time  
between failure analysis;  
s)assist and cooperate with the Owner, as and when requested,  
t)prepare and implement daily log sheets and documents for faults, outages, materials and consumables usage, Plant  
performance, accounting books and records of the Plant;  
u)provide on-going and refresher training on-Site in power station operation and for all OPERATION Staff;  
v)prepare, update and maintain on a daily basis a work order system and tag-out documents;  
w)manage outages in a manner that is consistent with lowest cost, the obligations of the Owner, best utilization of labor,  
and parts, and maximization of productivity;  
x)Provide first aid for on-Site emergency medical treatment;  
y)Prepare the plant and systems for inspections and allow inspections of the Plant by NTPC,Barauni Authorities;  
z)Establish and maintain good relations with personnel of the existing Facility and with the local community;

Ø NTPC, Barauni TPS reserves the right of doing background check for the qualification of employees deputed by Service  
provider. A copy of CV for all employees shall be submitted to NTPC, Barauni TPS.CV to be submitted after signing of  
agreement & before actual start of work.  
5. Deployment of Services / Effective date & Commencement of Manpower operations.  
Agreement shall be executed within 10 days of issuance of Letter of Intent (LoI) by NTPC, Barauni TPS. The Effective date  
of commencement of deployment of manpower shall be 10 Days from the date of Agreement.  
6.  
Liquidated Damages.  
Liquidated damages for delay  
In case of delay in deployment of services, Liquidated damages not exceeding an amount equal to 0.5% (zero point five  
percent) of the Agreement value per week, or part there of subject to a maximum of 10 % (ten percent) of the agreement  
value will be imposed and shall be recovered by appropriation from the Performance Security or otherwise. However in case  
of delay due to reasons beyond the control of the Agency, suitable extension of time shall be granted by NTPC, BARAUNI  
TPS at its sole discretion.  
Penalty for deficiency in Services  
In addition to the liquidated damages not amounting to penalty, as specified in clause 10, warning may be issued to the  
Agency for minor deficiencies on its part. In case of significant deficiencies in services causing adverse effect on the project  
or on the reputation of the authority, other penal action including debarring for a specified period may also be initiated as per  
policy of the Authority.  
7. Facilities to be provided by the Firm  
The Bidder should also make his own arrangements for transportation of their employees for On-time Duties to the Power  
House. No any amount shall be payable for any such type of services or claims etc. However, accommodation may be  
provided (If available) on chargeable basis by NTPC BTPS. Electricity charges will be charged As per Consumption.

9. Actions to be taken in case of Negligent or collusive behavior  
NTPC, BARAUNI TPS reserves the rights to verify the services at desired timeframe. In case, during such subsequent  
verification if the standards are found to be not conforming to prescribed standards, appropriate action as may deem fit,  
including but not limited to following, may be taken by the NTPC, BARAUNI TPS :-.  
a) Summary termination of this contract,  
b) Levy of penalty as deemed to be fit.  
c) Recovery of fees, if already paid; and damages if any.  
d) Decision of the NTPC, BARAUNI TPS , as to whether the Service provider or any of his associates has indulged into  
negligent or collusive behavior shall be final and binding on the Service provider.  
10. Penalties  
a. In case the number of manpower (Shift #Charge Engineer, Control Engineers & Chemist/Chemical Analyst) supplied by  
the Service provider is less than the agreed number, a penalty of double the rate for said manpower as mentioned in the  
LOA in addition to non-payment of the charges for the period of absence on pro rata basis for the month, will be levied.  
b. If there is mal operation /faulty operation , undesired operation , which may cause damage or result in damage in future to  
the equipment/plant by any manpower/ Agency, Penalty as decided by the co-ordination committee will be levied to the  
contractor, however the total value of the penalty will not exceed 10 % (ten percent) of theawarded cost.  
The Co-ordination Committee members will be as under:-  
CGM-, NTPC, Barauni TPS # Chairman with Veto-Power.  
GM (O&M), NTPC, Barauni TPS # Member.  
HOD(Operation), NTPC, Barauni TPS # Member.  
Contractor’s Representative # Member.  
c. Upon the written directions of the Engineer-In-Charge of NTPC, BARAUNI TPS , the Service provider shall immediately  
remove from the works any person or persons deployed thereon, who may in the opinion of the Engineer-In-Charge be  
incompetent or responsible for misconduct. Such persons shall not be employed again on the works without the written  
permission of the Engineer-in-charge, or such other officer so authorized for such purpose.  
d. It shall be accepted as an inseparable part of the contract that in matters regarding competency, efficiency, conduct and  
behavior, the decision of the Engineer-In-Charge, NTPC, and BARAUNI TPS shall be final and binding on the Service  
provider in all such matters.  
e. In case it is found that any theft or damage has occurred to the property or premises of the NTPC, BARAUNI TPS due to  
negligence of personnel in performing his/ her duty and /or absence from the place of duty and/or not providing substitute by  
the Service provider or any other reason, the cost of all such losses or damages as assessed by NTPC, BARAUNI TPS shall  
be recovered from the Service provider’s monthly bill or from his security deposit.  
f. The Service provider shall be fully responsible to deal with all kind of suits/claims/penalty etc. from any person,  
organization or authority etc. In case NTPC, BARAUNI TPS is implicated in any law/suit on account of not fulfilling of any or  
all obligations under any law or due to performing the duties by any personnel of the Service provider, all cost of defending  
such suit settlement of claims penalty etc. shall be borne by the Service provider or recovered from the due amounts  
payable to the Service provider and/or from the security deposit held by NTPC, BARAUNI TPS.  
g. The personnel supplied by the Service provider shall be of sound physical & mental health and should not be under the  
influence of any drug or liquor during duty and have full knowledge & experience to competently complete the job assigned  
to them.  
h. In case any executives/personnel of the Service provider is implicated in any law suit or is injured by any  
executive/personnel or group of executives/personnel agitating mob etc. during the course of performing his duty/their duties  
for NTPC, BARAUNI TPS it shall be the sole responsibility of the Service provider to defend its executives/personnel in the  
court of law or to extend all medical and financial help etc. without charging cost to the NTPC, BARAUNI TPS .  
i. NTPC, BARAUNI TPS shall be deemed to be indemnified by the Service provider for lapses or other mischievous etc by its  
executives/personnel.  
j. In case the wrong information in respect of qualification of personnel is found, a penalty equal to three times billing done  
for the specific wrong person/profile may be levied by NTPC, BARAUNI TPS on the Serviceprovider.  
k. If any complaint is received against any of the Executive/personnel or the performance of particular personnel is found to  
be lacking in the opinion of Engineer in Charge, NTPC, BARAUNI TPS , then the Service Provider will be informed about the  
complaint(s)/performance deficiency and they would be required to take necessary remedial action immediately to avoid  
recurrence of such an event. It may attract a penalty of Rs. 1,000/- per complaint per person and in grave cases terminate  
the contract.  
l. High level of discipline is expected from all deployed personnel, EIC Reserves the right to entry on this basis. The decision  
of EIC will be final in this regard.  
m. The contractor shall provide all personal protective equipment (like Helmet,safety shoes, Gloves, nose mask, Ear plug  
etc.). All the PPE should be good quality and may be inspected by EIC/Safety officer of NTPC at any time. If any deploy  
personnel found without PPE , a penalty of Rs- 500 will be imposed per person per occasion.  
n. Cost of equipment if damaged due to negligence by the contractor’s employee, the same will be recovered from the

contractor’s bill.  
11. Other Requirements of Personnel  
a) The office hours for the personnel would be as decided by Engineer-In-Charge.  
b) Distribution of duties and their timings of manpower shall be decided by Engineer-In-Charge based on business  
requirements. The services will be meant for 24 hours operations of the Power Plant on all 7 days of the week, throughout  
the year (without any off/holiday).  
c) The bidder shall adhere to Labor Laws and Contract Act-1970 and any other labor law as may be applicable now and in  
the future.  
d) The bidder should be able to increase staff as and when required by NTPC, BARAUNI TPS within 7 days of demand at  
the same awarded rate and terms and conditions.  
e) The man power deployed, for all practical purposes, will be the responsibility of the bidder alone and under no  
circumstances they would claim to be the employees of NTPC, BARAUNI TPS. The bidder will nominate one person who will  
take care of the persons deployed for NTPC, BARAUNI TPS at BTPS, Begusarai for their welfare and duties and mentioned  
person will have his/her local residence nearby BTPS, Begusarai.  
f) The manpower to be supplied by the contractor will be purely with the bidder. The contractor’s employees shall have no  
right of claim of employment under NTPC, BARAUNI TPS .  
g) It will be binding on the persons manning the BTPS, Begusarai not to possess and divulge internal system information to  
any outsider. If any such activities are observed, it will be binding on the part of the bidder to remove the person from the  
BTPS, Begusarai. NTPC, BARAUNI TPS shall have the right to file a legal case against the contractor/ Executive/  
Supervisor in such cases.  
h) The persons manning at BTPS, Begusarai will have to update themselves about the relevant activities/services of NTPC,  
BARAUNI TPS for which they will be briefed by NTPC, BARAUNI TPS from time to time.  
i) NTPC, BARAUNI TPS reserves the right to disqualify such bidders who have a record of not meeting the contractual  
obligations against contracts, entered in to with NTPC, BARAUNI TPS.  
j) The bidder shall obtain a valid labour license under the contract labour (R&A) act 1970 and the contract labour (Regulation  
and abolition) central rules 1971, before commencement of the awarded work and continue to have a valid license until the  
completion of the work. The bidder shall also abide by the provisions of the child labour (Prohibition and regulation) act  
1986. Any failure to fulfill the requirement shall attract the penal provisions of the contract arising out of the resultant non  
execution of the work.  
k) The contractor shall abide with all applicable laws for the time being in-force.  
l) The manpower supplied by the contractor will be utilized in accordance with the statutoryprovisions.  
m) Bidder shall quote taking into account the relievers of Engineers and chemist of their own at no extra cost to utility.
