3.0 Original Bid Security in hard copy, as stipulated above shall be submitted prior to stipulated bid submission closing date and
time at the address given herein below. Any Bid without an acceptable Bid Security in a separate sealed envelope shall be rejected by
the Employer as being non-responsive and returned to the bidders without being opened.
4.0 NTPC reserves the right to reject any or all bids or cancel/withdraw the invitation for bids/IFB without assigning any reason
whatsoever and in such case no bidder/intending bidder shall have claim arising out of such action.
5.0 Bid documents can be accessed through NTPC SRM Site https://etender.ntpclakshya.co.in/sap/bc/gui/sap/its/bbpstart. For
logging on to the SRM Site, the bidder would require vendor code and SRM user id and password which can be obtained by
submitting a questionnaire available at our SRM site as well as at NTPC tender site (www.ntpctender.com). First time users not
allotted any vendor code are required to approach NTPC at least three working days prior to Document Sale Close date alongwith duly
filled in questionnarire for issue of vendor code and SRM user id/password.
6.0 Brief Scope of Work
The Consultant shall carry out detailed due diligence of the Target, based on the information from Resolution Professional/ NCLT,
public domain and as provided by lenders/creditors/promoters and through its own resources. The Consultant scope broadly shall
include, but not limited to, the following services:
# Detailed due diligence (w.r.t Commercial, Financial, Tax, Contractual, and Legal aspects)
# Risk assessment & mitigation measures and SWOT Analysis
# Valuation of Target
# Financial modelling with sensitivity analysis
# Determination of covenants and condition precedents in case of Target transfer
# Strategy for participation in NCLT as per NTPC#s requirement
# Preparation of Resolution Plan, legal vetting and submission of Resolution Plan/ bid
The detailed scope of work is given in the Bidding Documents which are available at our SRM site as per the schedule given above.
