	SPECIAL INSTRUCTIONS
	---------------------------------------

1.Service tax will be paid extra as applicable subject to production of documentary evidence.

2.Any other taxes (other than service tax) applicable is to be mentioned as extra otherwise it will be assumed that the quoted price is inclusive of all taxes whatsoever.

3.Any error in description, quantity or rate in Schedule of Quantities/items or any omission there from shall not vitiate the Contract or release the Contractor from the execution of the whole or any part of the Works comprised therein according to drawings and specifications or from any of his obligations under the Contract.

4.If on check there are found to be differences between the rates given by the contractor in words and figures or in the amount worked out by him in the schedule of quantities/items and general summary, the same shall be adjusted in accordance with the following rules.

(a)In the event of a discrepancy between description in words and figures quoted by tenderer, the description in words shall prevail.

(b)In the event of an error occurring in the amount column of Schedule of quantities/items as a result of wrong extension of the unit rate and quantity the unit rate shall be regarded as firm and extension shall be amended on the basis of the rate.

(c)All errors in totaling in the amount column and in carrying forward totals shall be corrected.

(d)The totals of various sections of Schedule of Quantities/ items amended shall be carried over to the GeneralSummary and the tendered sum amended accordingly. The tendered sum so altered shall, for the purpose of tender, be substituted for the sum originally tendered and considered for acceptance instead of the original sum quoted by the tenderer. Any rounding off of Quantities or in sections of Schedule of Quantities/items or in General Summary by the tenderer, shall be ignored.

5.It is mandatory for all bidders must have Provident Fund Code number.

6.Any subcontractor engaged should also posses PF code number.

7.All the workers deployed by contractors or sub contractors are to be enrolled as members of provident fund and should be given the Universal Account Number (UAN).

8.Bidders are required to comply with all state & Central statutory requirement.

in consultation with Engineer-in-charge (EIC) of NTPC, a detailed work schedule for achieving the target schedules.

7.0 COMPENSATION FOR DELAY

If the agency fails to successfully complete the charging of the line within the time fixed under the contract, the contractor shall pay to NTPC as liquidated damages, not as penalty, as amount equivalent to 0.75 % of the contract value per week upto a ceiling of 5% of the contract value. The above stipulations are non- negotiable.

8.0.Unforeseen Conditions

8.1.If during the execution of the contract, the contractor shall encounter on the site any physical conditions (other than climatic condtitions) or artificial obstructions that could not have been reasonably foreseen prior to the date of the contract agreement by an experienced contractor on the basis of reasonable examination of the data relating to the Facilities (including any data as to boring tests) provided by the employer, and on the basis of information that it could have obtained from a visual inspection of the site (if Access thereto was available) or other data readily available to it relating to the Facilities, and if the contractor determines that it will in consequence of such conditions or obstructions incur additional cost and expense or require additional time to perform its obligations under the contract that would not have been required if such physical conditions or artificial obstructions had not been encountered, the contractor shall promptly, and before performing additional work or using additional plant and equipment or contractor's equipment, notify the project manager in writing of

a)the physical conditions or artifical obstructions on the site that could not have been reasonably foreseen

b)the additional work and/or plant and equipment and/or contractor's equipment required, including the steps which the contractor will or proposes to take to overcome such conditions or obstructions

c)the extent of anticipated delay

d)the additional cost and expense that the contractor is likely to incur

On receiving any notice from the contractor under this clause, NTPC in consultation with contractor decide upon the actions to be taken to overcome the physical conditions or artificial obstructions encountered. Following such consultations, NTPC shall instruct the contractor in writing the actions to be taken

8.2.Any reasonable additional cost and expense incurred by the contractor in following the instructions from NTPC to overcome such physical conditions or artifical obstructions referred above in clause 8.1., shall be paid by NTPC to the contractor as an addition to the contract price

8.3.If the contractor is delayed or impeded in the performance of the contract because of any such physical conditions or artificial obstructions referred to in clause 8.1., the time for completion shall be extended in accordance with Clause 10 (Extension of Time of Completion)

9.0.Force Majure

9.1."Force Majeure" shall mean any event beyond the reasonable control of NTPC or of the contractor, as the case may be, and which is unavoidable notwithstanding the reasonable care of the party affected.

9.2.If either party is prevented, hindered or delayed from or in performing any of its obligations under the contract by any event of Force Majeure, then it shall notify NTPC in writing of the occurence of such event and the circumstances thereof within fourteen (14) days after the occurence of such event.

9.3.The party who has given such notice shall be excused from the performance or punctual performance of its obligations under the contract for so long as the relevant event of Force Majeure continues and to the extent that such party's performance is prevented, hindered or delayed. The time of completion shall be extended in accordance with Clause 10 (Extension of Time for completion)

9.4.The contractor affected by the event of Force Majeure shall use reasonable efforts to mitigate the effect thereof upon its or their performance of the contract and to fulfill its or their obligations under the contract, but without prejudice to either party's right to terminate the contract under Clause 9.5 and 9.6 mentioned below

9.5.Delay or non performance by either party hereto caused by the occurence of any event of Force Majeure shall not

a)Constitute a default or breach of the contract

b)Give rise to any claim for damages or additional cost or expenses occasioned thereby

if and to the extent that such delay or nonperformance is caused by the occurence of an event of Force Majeure.

9.6.If the performance of the contract is substantially prevented, hindered or delayed for a single period of more than sixty (60) days or an aggregate period of more than one hundred and twenty (120) days on account of one or more events of Force Majeure during the currency of the contract, the parties shall develop a mutually satisfactory solution.

9.7.Notwithstanding the Clause 9.5 Force Majeure shall not apply to any obligation of NTPC to make payments to the contractor herein.

10.0.Extension of Time for Completion

10.1.The time(s) of completion shall be extended, if the contractor is delayed or impeded in the performance of any of its obligations under the contract by reason of any of the following:

a)any occurence of Force Majeure as provided in Clause 9 (Force Majeure), unforeseen conditions as provided in Clause 8 (Unforeseen Conditions).

b)any default or breach of the contract specifically attributable to NTPC.

10.2. Except where otherwise specifically provided in the contract, the contractor shall submit to NTPC a notice of claim for an extension of Time for Completion, together wiwth particulars of the event or circumstances justifying such extension as soon as reasonably practicable after the commencement of such event event or circumstance. As soon as reasonably practicable after the receipt of such notice and supporting particulars of the claim, NTPC and the contractor shall agree upon the period of such extension. In the event that the contractor does not accept NTPC's estimate of a fair and reasonable time extension, the contractor shall be entitled for settlement of disputes as mentioned in Clause 13 (SETTLEMENT OF DISPUTES AND ARBITRATION)

11.0SITE ORGANIZATION

11.1Further for the work to be performed effectively and to achieve the targets set herein above, agency shall plan adequate mobilization of plant & machinery in consultaion with NTPC and shall intimate NTPC before commencement of work.

11.2Agency shall set up site organization and depute adequate number of qualified and experienced persons for this work, having sufficient experience in execution of the works of the type indicated in the tender documents.

12.0 CO-OPERATION WITH OTHER AGENCIES:

Agency shall attend at its own cost all the meetings with the Engineer-in-Charge, other contractors and the consultants of NTPC for the contract. Agency shall attend such meetings as and when required and fully co-operate with such persons and agencies involved.

13.0 SETTLEMENT OF DISPUTES AND ARBITRATION

It is specifically agreed that all disputes or differences whatsoever, arising out of this contract between the parties whether during the progress of the work or after its completion, shall be settled by process of settlement and arbitration as specified in Conditions of Contract (Non-IDA, Supply cum erection).

PAYMENT TERMS FOR LINE ITEM 10

I)Fifteen percent (15%) of the total Ex-works price component as Initial Advance Payment on

i)Acceptance of Notification of Award.

ii) Submission of unconditional Bank Guarantee covering the advance amount which shall be initially kept valid upto 90 days beyond the schedule date for successful completion of all the facilities under the Package. However, in case of delay in completion of facilities, the validity of this Bank Guarantee shall be extended by the period of such delay

iii) Submission of an unconditional Bank Guarantee(s) towards Contract Performance Security(s) in respect of all contracts intially valid upto 90 days after the end of Defects Liability Period af all the facilities covered under the contract.

II) Sixty Percent (60%) of Ex-Works price component of equipment shall be paid progressively on pro-rata basis upon receipt of equipment at site and physical verification, certification and issuance of Authorisation letter by Project Manager of NTPC.

i). Authorisation letter shall be issued by the Project Manager of NTPC, upon executing an indemnity bond in favour of NTPC for keeping the equipment in safe custody at Agency's stores thereof together with the risk of loss or damage and to utilise the same exclusively for the purpose of the said contract.

ii). The responsibility for care and custody, of Plant and Equipment received, thereof together with the risk of loss or damage thereto shall remain with the contractor hereof until Completion of the Facilities.

III) Fifteen Percent (15%) of Ex-works price component shall be paid on pro-rata basis on completion of installation, final alignment & bolting etc. and certification by Project Manager of NTPC on quantum of work performed.

IV) Ten Percent (10%) of Ex-works price component shall be paid on 'Completion of Facilities'& its certification by the Project Manager of NTPC.

00020:Line erection works(10 TOWERS)

PAYMENT TERMS FOR LINE ITEM 20

I)Fifteen percent (15%) of the total erection works price component as Initial Advance Payment on

i)Acceptance of Notification of Award.

ii)Submission of unconditional Bank Guarantee for an amount equivalent to One Hundred ten percent (110%) of Advance amount, which shall be intially kept valid upto 90 days beyond the schedule date for successful completion of all the facilities under the Package. However, in case of delay in completion of facilities, the validity of this Bank Guarantee shall be extended by the period of such delay

iii)Submission of an unconditional Bank Guarantee(s) towards Contract Performance Security(s) in respect of all contracts intially valid upto 90 days after the end of Defects Liability Period af all the facilities covered under the contract.

iv)Establishing their office at site/ or resources at site in preparatory to mobilization of their erection establishment.

II) Seventy Percent (70%) of price component corresponding to civil works (line item 20.10 to 20.80 and Preliminary Survey

&measurement of SR i.e., 20.9) shall be paid progressively on pro-rata basis upon completion of RoW payments and upon submission of relevant documents pertaining to the receiving of RoW Charges by the affected land owners pertaining to civil

&erection works and completion of corresponding works and certification by Project Manager of NTPC on quantum of work performed.

III) Seventy Percent (70%) of price component corresponding to erection works (line item 20.90 to 20.120) shall be paid on pro-rata basis on completion the corresponding works and certification by Project Manager of NTPC on quantum of work performed.

IV) Fifteen Percent (15%) of total erection works price component shall be paid on 'Completion of Facilities'& its certification by the Project Manager of NTPC.

I) One Hundred Percent (100%) of the total price corresponding to Store Charges shall be paid on establishment of site office, proper storage facilities along with the T&P and manpower mobilization as identified in the contract for the start of the contract and certification thereof by NTPC. However, if the T&P and man-power availability found to be incongrous to the T&P and manpower mobilization as identified in the contract a sum of Fifty percent (50%) shall be hold from the Running Accountable Bills (RAB) of Supply / Erection bills untill NTPC certifies the T&P and manpower availability is found in order with the T&P and manpower mobilization as per contract
