Expression of Interest is hereby invited from Interested parties having experience in running educational institutions, for taking over School located at NTPC Faridabad on license basis for a period of 10 years from academic session 2016-17, which is extendable by another 10 years on mutual consent. QUALIFYING REQUIREMENT

Agency should meet following eligibility criteria :

1.Should be running minimum 2 numbers of English medium Senior Secondary (Class XII) Schools.

2.Should have minimum experience of 5 years in running at least one CBSE affiliated English Medium Senior Secondary School.

3.Should have minimum number of 400 students in at least one CBSE School.

4.Should have last 5 years record of quality education in terms of 80% or above pass rate for Class XII in at least in one CBSE affiliated school.

Note: The above details will be considered for period immediately preceding

the EOI date

TERMS AND CONDITIONS FOR TAKE OVER OF MANAGEMENT OF SENIOR SECONDARY SCHOOL AT NTPC, FARIDABAD.

The Management of the Senior Secondary School at NTPC, Faridabad shall be handed over to the selected Agency on the following terms and conditions:

01.The school premises having land measuring 6.98 acres along with the school and hostel buildings with all furniture, fixtures, lab equipments etc. shall be handed over to the selected Agency for a period of 10 (ten) years, on as-iswhere- is-basis for running of a Senior Secondary School affiliated to CBSE,

(up to Class XII), and hostel (if found necessary) from the academic session 2016-17. The period can be considered for extension for another 10 years on mutual consent. The agency shall pay NTPC-Faridabad a monthly licence fee of Rs 1000/- for the land. A license deed in this regard shall be executed between NTPC and the selected Agency.

02.The assets of the school namely buildings, furniture and fixtures, lab equipments, electrical fittings, sports goods, air conditioners, water coolers etc will be handed over to the Agency on as-is-where-is-basis.

03.The selected Agency shall enter into an agreement with NTPC-Faridabad for managing and running a Senior Secondary school affiliated to CBSE and hostel. It shall be the responsibility of the Agency to comply with all the requirements of CBSE for running the school.

04.NTPC will have no financial and other liabilities towards providing any additional buildings, infrastructure and other facilities for the school and hostel. All expenditure, recurring and non-recurring shall be met by the Agency from their own resources, either through fees raised from the students, or otherwise.

05.The Agency shall take prior permission from NTPC before carrying out any modification in the existing buildings or carrying out any additional construction at the premises.

06.The management of the School shall be the responsibility of the selected Agency. The Agency shall constitute a Local Management Committee consisting of 7 members for managing the day-to-day affairs of the School. The Chairman and 3 members of the School shall be nominated by the Agency, while the Vice-Chairman and 2 members shall be nominated by NTPC.

07.The Agency shall select and appoint the Principal and sufficient nos. of qualified teachers and other staff, in line with the CBSE guidelines, to run the school efficiently and smoothly. The Principal shall be overall in-charge of the School. The Principal, teachers and other staff of the school shall be employees of the Agency and the Agency shall have the responsibility of discharging all their responsibilities as their employer.

08.The Principal of the school shall finalize admission to children as per the byelaws of the school which shall be finalized by the Local Management

Committee. The Agency shall give preference in admission to wards of NTPC employees and CISF personnel posted at NTPC-Faridabad site. 10% of seats available for admission in each class (minimum one seat in each class) shall be reserved for admission at the discretion of the Head of NTPC-Faridabad Station.

09.The fees to be collected from the children shall be finalized by the Local Management Committee. However, fees for wards of NTPC employees and CISF shall be finalized with the consent of NTPC.

10.NTPC shall have no liability for providing accommodation to the staff of the school. However, NTPC may consider providing accommodation if available in NTPC Faridabad township on payment of market rent.

11.The staff, their family members and the children studying in the school may avail the medical facilities as available at the Station Health centre on payment of charges as applicable.

12.The Agency will provide all the physical facilities like properly furnished class-rooms, full-fledged Physics, Biology, Chemistry and other laboratories and library as per CBSE syllabus/ guidelines. The Agency shall also provide / develop suitable facilities/ equipments /playgrounds for development of sports and games and other extra-curricular activities, as per directions of the Local Management Committee.

13.The Agency will make its own arrangements for electricity from the concerned Electricity Board and water connection from the State Authority, for the school and hostel.

14.Separate entry and exit to the School complex shall be provided by the Agency, and it shall be ensured that the children or their parents or the staff of the school do not enter the NTPC premises without the prior-permission of the NTPC authorities.

15.The Agency shall ensure that only such activities which are connected with or incidental to the imparting of quality education to the children and their personality growth and development through academics, games, sports and extra-curricular activities are carried out in the school complex. No commercial or other activities which are unrelated to functioning of the school shall be carried out at the premises.

16.The School will maintain its accounts as per existing guidelines laid down by CBSE and or other statutory bodies. The same will be audited as per by-laws approved by Local Management Committee.

17.If any time, during the tenure of the Agreement, either NTPC or the Agency wishes to short-close the Agreement, the same shall be done by giving the other party minimum one year prior notice, and such short closure shall be made effective only at the end of the academic session.

18.In case of termination of the Agreement, either on completion of the license period or on short closure, the Agency shall handover to NTPC the vacant possession of the land and building. All the moveable and immoveable property except the assets (immovable property) added by the Agency shall be the property of NTPC. It shall be the responsibility of the Agency to either relocate the staff to the Agency’s other locations or terminate their services complying with the due procedures. In case NTPC does not intend to continue running the school any further, the Agency shall also ensure that the closure of school is done as per the due procedures laid down by CBSE.

19.It shall be the responsibility of the Agency to get the required Agreement and License deed duly executed as per the requirement of the rules prescribed under the applicable laws at the cost and expenses of the Agency.

20.That all questions relating to the interpretation and meaning of this agreement and all other disputes and differences arising between the parties under this agreement either during the subsistence or upon termination shall be referred to the Sole Arbitrator appointed by Chairman and Managing Director of NTPC. Either party may give 30 days notice for invocation of Arbitration and refer

such disputes/ differences to the Sole Arbitrator. The Arbitration proceedings shall be governed by the Arbitration and Conciliation Act, 1996. The Arbitrator shall give reasoned and speaking Award. The Award shall be final and binding on both parties. The Society shall not raise any objection about such person being the Arbitrator. The cost of Arbitration shall be equally shared by both parties. The venue of Arbitration shall be New Delhi. The Language of Arbitration shall be English.

21.The Agreement shall be governed by Indian Laws and Court of Faridabad shall have exclusive jurisdiction on all matters under the Agreement.

22.All notices under the Agreement shall be in writing signed by the parties or

their authorised representatives and will be sent and delivered to the other party by Registered Post, Fax, personal delivery or otherwise against acknowledgment at the address of the parties.

Marking pattern for evaluation of EOI: School scoring highest marks will be selected-

1.5 marks to be kept for each running Sr Secondary School. (max marks 15)

2.2 marks for running years of each Sr Secondary School initially for 5 years and thereafter 1 mark for each subsequent 1 year. (max marks 20)

3.5 marks for each CBSE affiliated Sr Secondary school (max marks 15)

4.1 mark for each block of 100 students beyond 400 students in each school.(max marks 10)

5.1 mark for quality education for each 1 % higher passing percentage beyond 80% in Class XII of CBSE affiliated school for the last year result. (max marks 20)
