3.0 Bid Security and Integrity Pact (if applicable) shall be submitted in a sealed envelope separately offline by the stipulated bid submission closing date and time at the address given below. Any bid without an acceptable Bid Security and Integrity Pact (if applicable) shall be treated as non-responsive by the employer and shall not be opened.

4.0 A complete set of Bidding Documents may be downloaded by any interested Bidder on payment (non-refundable) of the cost of the documents as mentioned above in the form of a crossed account Payee demand draft in favour of NTPC Ltd., Payable at New Delhi or directly through the payment gateway at our SRM Site (https://etender.ntpclakshya.co.in/sap/bc/gui/sap/its/bbpstart). For logging on to the SRM Site, the bidder would require vendor code and SRM user id and password which can be obtained by submitting a questionnaire available at our SRM site as well as at NTPC tender site (www.ntpctender.com). First time users not allotted any vendor code are required to approach NTPC at least three working days prior to Document Sale Close date alongwith duly filled in questionnare for issue of vendor code and SRM user id/password.

5.0Brief Scope of Work & other specific detail

In order to enable NTPC employees, their dependents and retired employees to avail best medical facilities and providing the flexibility of treatment at any of empanelled hospitals of NTPC anywhere in India NTPC Ltd is intended to place a contract towards implementation of IT-Enabled Medical Referral System.

To implement this, Vendor shall have to capture and deploy biometric finger print templates and photograph of NTPC beneficiaries (approx 1 lakh ) into central database server with biometric de-duplication checking and also shall have to deploy, install & commission Smart Card and Biometric reader machine/machines (smart card & finger print authentication) at the hospitals empanelled with NTPC across India (Approx 225 number hospitals). These readers will authenticate the NTPC beneficiaries during registration at hospitals for medical treatment, and will push authenticated beneficiary#s entry to the central database through internet connection. Web based application software shall be deployed at the central server to - update the daily expenses and brief of the treatment by the hospital staff and to facilitate NTPC Doctor(s) to see their dashboards to keep track of the patients admitted and expense detail. Supply, installation & commissioning and comprehensive maintenance of all the hardware and software to implement this solution shall be in the scope of

the vendor.

The scope of work is categorized into following parts:

i.Supply installation and commissioning of Server at NTPC Data Centre.

ii.Enrolment of existing NTPC Beneficiaries.

iii.Preparation of Smart card for existing NTPC beneficiaries.

iv.Design, development & deployment of web based application Software.

v.Supply Installation & commissioning of Reader Machines at hospitals.

vi.Supply installation and commissioning of Enrolment Station.

vii.Preparation Smart card for temporary use.

viii.Training to users.

ix.Preparation of additional Smart cards for future requirement.

x.Comprehensive Maintenance service of the system.

xi.Additional man days for future requirements and modifications in web based application software.

xii.De-installation of Reader Machine from future De-empanelled Hospitals.

xiii.Installation of reader machine in future empanelled Hospitals.

xiv.Additional Items for complete functionality of the system

xv.Additional Comprehensive Maintenance service of the system

6.0 Prospective bidders from U.P. State are compulsorily required to provide TIN number at the time of purchase of bidding documents.

7.0Qualifying Requirements for Bidders:

7.1 The bidder should have executed any one of the following in preceding seven years as on the date of opening of Techno-commercial bid:

One #similar# work of value not less than Rs. 553 lakh (Rupees Five hundred and fifty three lakh only). OR

Two #similar# works of value not less than Rs. 346 lakh (Rupees Three hundred and forty six lakh only) each. OR

Three #similar# works of value not less than Rs. 277 lakh (Rupees Two hundred and seventy seven lakh only) each.

Note:

(i) #Similar# work means any work which includes supply & installation of Access control system / Authentication system / Biometric matching/ Biometric Enrolment /Time attendance system/Access Card projects based on Biometric Technology/ Access Card projects based on Smart card technology.

(ii)The work #executed# mentioned above means the bidder should have achieved the criteria specified above as at 1.0, even if the total contract is started earlier and/or is not completed / closed. However, the work executed must include #similar# work.

(iii)In case of orders under execution, the value of work executed till the date of opening of Techno-Commercial proposal as certified by the Client shall be considered. However, the work executed must include #similar# work.

(iv)For order in foreign currency, the exchange rate as on the date of techno-commercial bid opening shall be used.

7.2 The Bidder should have maintained the #Similar# work as at QR Sl no. 7.1.0 above for a period of atleast two years as on the date of opening of Techno-commercial bid.

Note: System maintained under warranty shall also be considered acceptable.

7.3 Financial Criteria:

7.3.1The average annual turnover of the Bidder, in the preceding three (3) financial years as on the date of opening of techno-commercial bids, should not be less than # 782 lakh (Rupees Seven hundred and eighty two lakh only) or in equivalent foreign currency.

7.3.2The Net Worth of the Bidder should not be less than 100% of the Bidder#s paid up share capital as on the last day of the preceding financial year. In case the Bidder meets the requirement of Net Worth based on the strength of its Subsidiary(ies) and/or Holding Company and/or Subsidiaries of its Holding Company wherever applicable, the Net Worth of the Bidder and its Subsidiary(ies) and/or Holding Company and/or Subsidiary(ies) of the Holding Company, in combined manner should not be less than 100% of their total paid up share capital. However, individually, their Net Worth should not be less than 75% of their respective paid up share capitals.

Net worth in combined manner shall be calculated as follows :

Net worth (combined) = (X1+X2+X3)/(Y1+Y2+Y3) x 100% where X1, X2, X3 are individual Net Worth which should not be less than 75% of the respective paid up share capitals and Y1,Y2,Y3 are individual paid up share capitals.

7.3.3 In case the Bidder is not able to furnish its audited financial statements on standalone entity basis, the un-audited unconsolidated financial statements of the Bidder can be considered acceptable provided the Bidder further furnishes the following documents for substantiation of its qualification:

(a)Copies of the un-audited unconsolidated financial statements of the Bidder along with copies of the audited consolidated financial statements of its Holding Company.

(b)A Certificate from the CEO/CFO of the Holding Company, as per the format enclosed in the bidding documents, stating that the un-audited unconsolidated financial statements form part of the Consolidated Annual Report of the Company.

In cases where audited results for the last preceding financial year as on the date of opening of Techno-commercial bid are not available, certification of financial statements from a practicing Chartered Accountant shall also be considered acceptable. In case, Bidder is not able to submit the Certificate from practicing Chartered Accountant certifying its financial parameters, the audited results of three consecutive financial years proceeding the last financial year shall be considered for evaluating the financial parameters.

7.3.4 In case a Bidder does not satisfy the financial criteria, stipulated at Clause 7.3.1 above on its own, its Holding Company would required to meet the stipulated turnover requirements at Clause 7.3.1 above, provided that the net worth of such Holding Company as on the last day of the preceding financial year is at least equal to or more than the paid up share capital of the Holding Company. In such an event, the Bidder should be required to furnish along with its Techno Commercial bid, a letter of undertaking from its Holding Company, supported by Board Resolution of the Holding Company, as per the format enclosed in the bidding documents, pledging unconditional and irrevocable financial support for the execution of the Contract by the Bidder in case of award.

Notes for Clause 3.0

(i)#Holding Company# and #Subsidiary# shall have the meaning ascribed to them as per Companies Act of India, in vogue.

(ii)Net worth means the sum total of the paid up share capital and free reserves. Free reserves means all reserves credited out of the profits and share premium account but do not include reserves credited out of the revaluation of the assets, write back of depreciation provision and amalgamation. Further any debit balance of Profit and Loss account and miscellaneous expenses to the extent not adjusted or written off, if any, shall be reduced from reserves and surplus.

(iii)Other income shall not be considered for arriving at annual turnover.

(iv)For annual turnover indicated in foreign currency, the exchange rate as on 7 days prior to the date of techno-commercial bid opening shall be used.

8.0Issuance of Bidding Documents to any bidder shall not construe that bidder is considered qualified.

9.0 NTPC reserves the right to reject any or all bids or cancel/withdraw the NIT for the subject package without assigning any reason whatsoever and in such case no bidder/intending bidder shall have any claim arising out of such action.
