Subject: Notice Inviting Expression of Interest from parties / agencies to be short-listed for Disposal / Sale of “Coal Mill Reject ” (CMR) and “ Stone Boulders ” from NTPC Dadri .

1.0 Introduction:

NTPC Dadri is a coal based Thermal Power Plant. The plant is situated at the Dadri – Dhaulana Road.

2.0 NTPC Dadri invites Expression of Interest (EOI) from domestic parties / agencies to be short- listed for Disposal/Sale of “Coal Mill Reject ” (CMR) and “ Stone Boulders ” from NTPC Dadri .

EOI received after the stipulated last date of submission shall not be entertained &

NTPC shall not be responsible for any delay,loss or

non-receipt of EOI sent by post/courier for any reason whatsoever.

3.0 Scope of Work: Sale of COAL MILL REJECT (CMR) and STONE BOULDERS as detailed below:

3.1 Specification: Coal Mill Reject and Stone Boulders are homogenous in nature . Specifications of aforesaid materials as derived from tests carried out at our site on samples taken from the lot are as follow:

i) CMR -Caloric Value varies from 665 to 1010 KCal /KG

ii) Stone Boulders- Stone boulders are assorted in sizes with approx. 60% quantity contains boulder sizes above 250MM

The above specifications are indicative only. Prospective agencies / parties may visit NTPC Dadri site to inspect/ assess the CMR and Stone Boulder. Scraps are to be sold /lifted on “AS IS WHERE IS BASIS”.

3.2. Tentative quantity, Lifting Period and Tentative Prices: The whole lots of Coal Mill Reject and Stone Boulders are homogenous in nature, thereby lifting of materials should take place from any approachable points as per convenience of NTPC. As intent of this EOI is to short list prospective buyers, the agencies / parties are required to fill the column for Agency’s preferences for Qty requisitioned ,tentative lifting period for the corresponding quantities to be lifted and tentative prices in Rs/MT as indicated in Anexure-I/II

4.0 Evaluation criteria for EOI: This is only for the purpose of ascertaining the interested parties as a part of market survey For the purpose of short listing of parties / agencies applicants shall be evaluated on the basis of the qualifying Requirement (Annexure-X) provided in the EOI. Agencies/Parties who do not submit the required details in totality shall not be considered.

Even though an Agency/Party may satisfy the above requirements he would be liable for disqualification if he has made misleading or misrepresentation or deliberately suppressed information in the forms, statements and enclosures required in the application. Any information/data furnished by the Agency/Party found to be incorrect or false or misleading at any point of time would render him liable to be debarred from the Enlistment & subject to further action as deemed fit by NTPC,Ddari.

5.0 The Agencies / Parties who are presently banned from business by NTPC- Corporate Centre/ NTPC- NCR-HQ/ DADRI , as on 21.04.15 shall not be considered for EOI. They shall be considered for EOI only after expiry of their banning period & revoking of the banning order, and shall have to apply against future EOI notices issued by DADRI .

Business dealings with Agencies / Parties / Vendors / Contractors shall be suspended, if prima- facie it is found in course of investigation that the Agencies / Parties / Vendors / Contractors involved in an offence of unethical business dealings with NTPC.

6.0 The applicant shall strictly adhere to the “Fraud Prevention Policy” and “Policy and Procedure for Banning of Business Dealing” of NTPC displayed on its tender website http://www.ntpctender.com.

7.0 All cost incurred by applicants for preparing and submitting the application, providing clarification or any other expenses whatsoever shall be borne by applicants themselves.

8.0 Agencies/Parties desirous of dealing with NTPC, Dadri for sale of the CMR and Stone Boulder (details as per Annexure-I/II), will have to submit filled application form attached at Annexure-III, along with all enclosures & supporting documents indicated.

9.0 Registration/enlistment of agencies/parties against this press advertisement shall be valid for a period of one year only from date of approval of enlistment by NTPC Dadri .

10.0 During the period that the applications are under consideration, the applicant is advised to refrain from contacting by any means, the employer and /or his employees/representatives on matters related to the applications under consideration. Any effort by an applicant to influence the evaluation of application or processing of applications for enlistment may result in the rejection of the Applicant’s application for enlistment.

Notwithstanding anything stated above, NTPC Dadri reserves the right to assess the capabilities, capacity & performance of the agencies, should the circumstances warrant such assessment.

11.0 Sale of CMR and Stone Boulder will be done following manual mode (offline) or On-line tendering by NTPC Dadri directly or through e-auction mode by any NTPC designated Agency, which shall be decided later. Further, quantum of CMR and Stone Boulder to be put up for sale against each tender and corresponding lifting period shall be fixed on sole discretion of NTPC. However, the Interested parties /Agencies are requested to indicate the quantity requisitioned, tentative price in Rs./MT and corresponding period required to lift the requisitioned quantity as indicated in Annexure-I/II.The “Request form for Registration/ Login id on NTPC e- tender (SRM)”, duly filled in has to be submitted mandatorily along with the application form.

12.0 Please note that this is not a Request for Proposal (RFP/RFQ) it is the intent of this notice inviting expression of interest to develop a representative list of qualified prospective/interested parties/ Agencies as a part of market survey, that can and will provide all required documents identified within this EOI , as well as possess the interest, the resources , and capabilities to cooperatively and successfully perform the required tasks.

Request for Proposal (RFP/RFQ) will be issued separately at a later stage through manual or on-line bidding by NTPC Dadri directly or through e-auction mode by any NTPC designated Agency. The Parties/Agencies who are shortlisted through this EOI , and those who come in contact subsequently and meet our qualifying requirements shall also be requested to submit Price bid as per requirement of the tender as explained at clause 11.For participation through e-auction conducted by any NTPC designated Agency, if required, parties/agencies may have to go for a separate registration with payment of registration fee on their own which will be communicated in due course tendering.

13.0 NTPC Dadri reserves the right to accept or reject any application, and to annul the EOI process and reject all applications at any time without incurring any liability, to the affected Applicant(s) or any obligation to inform the Applicant(s) of the grounds for this action. NTPC Dadri also reserves the right to reject any Application, if at any time a material misrepresentation is made or uncovered. This would lead to the disqualification of the Applicant.

Annexure-IX

Indicative Terms and Conditions for RFP:

1.0 Buyer shall have to submit an undertaking on Rs.100/- non-judicial stamp paper for the following

i) That buyer shall bear any short fall w.r.t ground rent, late payment penalty, taxes & any other statutory duties/levies etc after sale of scrap as & when noticed by NTPC Dadri or other statutory authorities.

ii) Scrap lifted shall not be used for wrongful purposes by the buyers .

2.0 It is presumed that buyers have accepted terms & condition after getting fully satisfied regarding the quality of the scrap material against the respective lots accepted by them. No dispute regarding quality of the material in the lots shall be entertained by NTPC Dadri during lifting of the scrap materials.

3.0 The material shall be sold on “As is where is basis” . No segregation shall be allowed during lifting. However, any other material or scrap found mixed with the tendered scrap same shall not be allowed for lifting.

4.0 Buyer shall have to provide personal protective equipment as per nature of work during the execution of work at NTPC Dadri site; however safety shoe, hand gloves is mandatory PPE for each & every laborer during execution of work.

5.0 Representative duly authorized by the firm shall be allowed for collecting the scrap materials from our site on behalf of their firm.

6.0 Payment Terms:-

a) NTPC Dadri Stores shall issue Acceptance Letter/Sale Order in respect of payment schedule after receipt of written request from qualified/registered buyers for deposit of EMD within ten days & for deposit of remaining payment w.r.t Cost of scrap material with taxes of total quantity of scrap purchased by buyer within twenty days from the date of issue of acceptance letter/sale order .

b) Buyer shall make payment towards EMD or full payment ie scrap material value with taxes within the payment schedule given in Acceptance Letter/Sale Order directly to NTPC Dadri either through RTGS or by Bank draft . Bank details for RTGS payment/ payment through demand draft is given below:-

c) Bank Details for payment through Demand Draft –

ii) Delivery Order/Sale release order(SRO) shall be issued by NTPC Dadri Stores after confirmation of receipt of payment in NTPC account by NTPC Dadri F&A Department.

iii) VAT /CST shall be applicable as per rule at the time of delivery of materials as follows:

iv) NTPC Dadri will not accept “C” form from any outside / local buyer against purchase of above matls.

Above taxes as applicable shall be deposited by buyer along with basic cost of scrap materials as

specified in payment schedule by NTPC Dadri in “Acceptance Letter/Sale Order”.

7.0 Transportation & loading of scrap shall be in buyer’s Scope. Gross & tare Weight measured at the weigh bridge at NTPC Dadri shall be final and binding. Buyer shall comply to all Govt. regulations while transporting the CMR and coal stone boulder.

8.0 Buyer shall have to deploy own labor and tools & tackles ie JCB etc at their own cost for lifting of scrap as per schedule. Buyer shall have to provide personal protective equipment as per nature of work during the execution of work at NTPC Dadri site. Safety shoe and hand gloves are mandatorily to be provided to each and every laborer by the buyer during execution of work

9.0 Buyer shall be solely responsible for payment of wages/other compensation to the deployed laborers during execution of work.

10.0 The PF,ESI act as applicable for this contract, Comprehensive insurance policy for the manpower engaged to execute the work shall be taken by the buyer before start of the work which shall be valid for the currency of the contract..

11.0 Buyer shall have to ensure that deployed workmen do not loiter around/within the plant premises. They shall not touch any material except the scrap material shown to them. If any of his workman is even found violating any rule and regulation, the buyer shall be solely responsible to make good the loss to the owner and any decision taken by NTPC Dadri in this regard shall be final and binding and SRO may be withdrawn.

12.0 Ground Rent :-

The successful bidders are required to lift the scrap within the free lifting period given in SRO from Sale Release Order (SRO) date issued by NTPC-Dadri. In case scrap is not lifted within the free lifting period. Ground rent @2% of the value of left out (remaining) scrap quantity per week shall be recovered till such time , the scrap is actually lifted by the buyer OR the payment deposited by the buyer is exhausted , whichever is earlier in order to realize the ground rent.

13.0 Late Payment Penalty :

If the payment is not made within the free payment date mentioned in the acceptance letter , the payment may be accepted on the discretion of NTPC up to a period of two weeks from the last

date of payment on payment of additional late payment penalty @ 1 % per week on the total sale value .

14.0 Termination :

NTPC reserve the right to terminate the contract either in part or full. In such an event, NTPC shall give 15 days’ notice in writing to the Purchaser upon receipt of which the Purchaser shall discontinue the lifting of “Coal mill reject” on the date and to the extent specified in the notice.

15) Arbitration :

The disputes, if any will be referred to arbitration in accordance with the provisions of “The Arbitration and Conciliation Act 1996, including any statutory modifications or re-enactment thereof and the rules made there under . Place of arbitration shall be DADRI.

16) Jurisdiction:

Any dispute arising out of this agreement shall be subject to the exclusive jurisdiction of the courts at NOIDA only in all matters under this agreement.
