1.0 NTPC Ltd. invites online bids on Single Stage Two Envelope bidding basis (Envelope-I: Techno-Commercial Bid & Envelope-II: Price Bid) from eligible bidders for Power Cycle Piping Package for Barh Super Thermal Power Project, Stage-I (3x660 MW) situated at Barh in Patna District, State of Bihar, India, as per the Scope of Work mentioned hereinafter.

2.0 BRIEF SCOPE OF WORK

“design, engineering, manufacture, shop fabrication, assembly, pre-assembly, tests and inspection at manufacturer’s works, compliance with statutory requirements and obtaining clearances from statutory authorities wherever required, reconciliation of contract with custom authority as required, packing, shipment and insurance, custom clearance, port clearance and handling, port charges, if any, inland transportation & logistic studies, inland transit insurance, supply & delivery to site, unloading, taking delivery of owner supplied Piping/ item/ Equipment (if any) from site stores for subsequent erection, storage and in plant transportation at site, erection, testing and commissioning and handing over to the owner/employer of the complete Power Cycle Piping package for the Barh Super Thermal Power Project, Stage-I (3x660MW) as per specifications and scope defined in the bidding documents”

3.0 NTPC intends to finance the subject package through ECB/Own Resources.

4.0 Detailed specification, scope of work and terms & conditions are given in the bidding documents, which can be downloaded from NTPC e-tender website (mentioned at para 10.0 below) as per the following schedule:

Cost of Bidding Document : Rs. 22,500/- (Rupees Twenty Two Thousand Five Hundred only) per set for Indian Bidders and US $ 500 (US Dollar Five Hundred only) per set for Foreign Bidders.

5.0 Bid Security for an amount of Rs. 84,581,000/- (Indian Rupees Eighty Four Million Five Hundred Eighty One Thousand only) or US Dollars 1,356,200 (US Dollars One Million Three Hundred Fifty Six Thousand Two Hundred only) shall be submitted offline prior to date and time for online bid submission. IF ANY BIDDER DOES NOT SUBMIT ACCEPTABLE BID SECURITY IN A SEPARATE SEALED ENVELOPE PRIOR TO THE DATE AND TIME FOR ONLINE BID SUBMISSION, HIS BID SHALL BE REJECTED BY THE EMPLOYER AS BEING NON-RESPONSIVE AND SHALL NOT BE OPENED.

6.0 BENEFITS/EXEMPTIONS TO SUPPLIES FOR MEGA POWER PROJECTS

Barh STPP, Stage-I (3x660MW) has been declared a Mega Power Project by the Government of India. Accordingly, supplies of goods under this package shall be eligible for the benefits/exemption as per provisions of relevant notifications of the Govt. of India.

7.0 QUALIFYING REQUIREMENT

In addition to the requirements stipulated in Section ITB (Instructions to Bidder), the following shall also apply:

7.1.0 Technical criteria

The bidder should have engineered / got engineered (involving preparation of piping isometrics, stress analysis and hanger engineering), supplied, fabricated / got fabricated, and erected / got erected power cycle piping for at least one fossil fuel fired thermal power unit of size 500 MW or above rating prior to the date of techno-commercial bid opening.

NOTE #

1. Power Cycle Piping means Main Steam, Cold Re-Heat, Hot-Reheat and Feed Water Discharge Piping as a minimum.

2. In case the engineering activity or erection activity or both engineering & erection activity as per cl. No. 7.1.0 was / were not in the scope of the bidder in the reference plant against which it is seeking qualification, but all other requirements stipulated under cl 7.1.0 above are met by the bidder, it may be considered qualified, provided it sub-contracts/ associates with an engineering and / or erection agency (as the case may be) for power cycle piping.

3. Experience of engineering activity or erection activity at separate reference plants are also acceptable.

7.2.0 Financial Criteria

7.2.1 Financial Criteria of Bidder

(a) The average annual turnover of the Bidder, in the preceding three (3) financial years as on the date of Techno-Commercial bid opening, should not be less than INR 2150 million (Indian Rupees Two Thousand one hundred and fifty million only) or in equivalent foreign currency.

(b) The Net Worth of the Bidder as on the last day of the preceding financial year should not be less than 25% of its paid-up share capital.

(c) In case the Bidder is not able to furnish its audited financial statements on stand alone entity basis, the unaudited unconsolidated financial statements of the Bidder can be considered acceptable provided the Bidder further furnishes the following documents on substantiation of its qualification:

(i) Copies of the unaudited unconsolidated financial statements of the Bidder along with copies of the audited consolidated financial statements of its Holding Company.

(ii) A Certificate from the CEO/CFO of the Holding Company, as per the format enclosed in the bidding documents, stating that the unaudited unconsolidated financial statements form part of the consolidated financial statements of the company.

In case where audited results for the last preceding financial year are not available, certification of financial statements from a practicing Chartered Accountant shall also be considered acceptable.

(d) In case a Bidder does not satisfy the financial criteria, stipulated at Cl. 7.2.1(a) and/ or Cl. 7.2.1 (b) above on its own, its holding company would be required to meet the stipulated turnover requirements at Cl. 7.2.1 (a) above, provided that the net worth of such holding company as on the last day of the preceding financial year is at least equal to or more than the paid-up share capital of the holding company. In such an event, the Bidder would be required to furnish along with its Techno-Commercial bid, a Letter of Undertaking from its holding company, supported by Board Resolution of the holding company, as per the format enclosed in the bidding documents, pledging unconditional and irrevocable financial support for the execution of the Contract by the Bidder in case of award.

(e) The unutilized line of credit for fund based and non-fund based limits with cash and bank balances including fixed deposits of the Bidder as on a date not earlier than 15 days prior to the date of Techno Commercial bid opening, duly certified by its Bankers should not be less than INR 1520 million (Indian Rupees ONE THOUSAND FIVE HUNDRED AND TWENTY million only) or in equivalent foreign currency. In case certificates from more than one bank are submitted, the certified unutilized limits shall be of the same date from all such banks.

(f) Where another Company of the group acting as the Treasury Centre is responsible for Treasury Management of the Bidder having combined credit/guarantee limit for the whole group, the Bidder would be required to provide a Banker’s certificate regarding the unutilised line of credit for fund based and non-fund based limits together with cash and bank balances including fixed deposits available to such Treasury Centre. Further, Treasury Centre shall certify that out of the aforesaid limits certified by its bankers’, the Bidder shall have access to the line of credit of a level not less than the specified amount at Cl. 7.2.1 (e) above. In proof of this, the Bidder would be required to furnish along with its Techno-Commercial bid, a Letter of Undertaking from the Treasury Centre, supported by a Resolution passed by the Board of Directors of the holding company, as per the format enclosed in the bidding documents, pledging unconditional and irrevocable financial support for the execution of the Contract by the Bidder in case of award.

(g) In case the Bidder’s unutilized line of credit for fund based and non-fund based limits specified at Cl 7.2.1 (e) above is not sufficient, a comfort letter from one of the bankers specified in the bidding documents unequivocally stating that in case the Bidder is awarded the contract, the Bank would enhance line of credit for fund based and non-fund based limits to a level not less than the specified amount to the Bidder or to the Treasury Management Centre as the case may be, shall be acceptable.

NOTES FOR CLAUSE 7.2.1

(i) Net worth means the sum total of the paid up share capital and free reserves. Free reserve means all reserves credited out of the profits and share premium account but does not include reserves credited out of the revaluation of the assets, write back of depreciation provision and amalgamation. Further any debit balance of Profit and Loss account and miscellaneous expenses to the extent not adjusted or written off, if any, shall be reduced from reserves and surplus.

(ii) Other income shall not be considered for arriving at annual turnover.

(iii) For unutilised line of credit for fund based and non-fund based limits and Turnover indicated in foreign currency, the exchange rate as on seven (7) days prior to the date of Techno Commercial bid opening shall be used.

7.3.0 Notwithstanding anything stated above, the Employer reserves the right to assess the capabilities and capacity of the Bidder / its Collaborators / Associates / Subsidiaries / Group companies to perform the Contract, should the circumstances warrant such assessment in the overall interest of the Employer.

8.0 NTPC reserves the right to reject any or all bids or cancel/withdraw the Invitation for Bids without assigning any reason whatsoever and in such case no Bidder / intending Bidder shall have any claim arising out of such action.

9.0 Prospective Bidders from U.P. State are compulsorily required to provide TIN number at the time of purchase of bidding documents from office of NTPC.

10.0 A complete set of Bidding Documents may be downloaded by any interested Bidder on payment (non-refundable) of the cost of the documents as mentioned above in the form of a crossed account payee demand draft in favour of NTPC Ltd., Payable at New Delhi or directly through the payment gateway at our SRM Site (https://etender.ntpclakshya.co.in). For logging on to the SRM Site, the bidder would require vendor code and SRM user id and password which can be obtained by submitting a questionnaire available at our SRM site as well as at NTPC tender site (www.ntpctender.com). First time users who are not allotted any vendor code are required to approach NTPC at least three working days prior to Document Sale Close date along with duly filled in questionnaire for issue of vendor code and SRM user id/password.

Note: No hard copy of Bidding documents shall be issued.

11.0 Issuance of bid documents to any Bidder shall not construe that such bidder is considered to be qualified. Bids shall be submitted online and opened at the address given below in the presence of Bidder’s representatives who choose to attend the bid opening. Bidder shall furnish Bid Security, Power of Attorney, Integrity Pact and Deed of Joint Undertaking(s) (if applicable) separately offline as detailed in Bidding Documents by the stipulated bid submission closing date and time at the address given below.

12.0 Transfer of Bidding Documents purchased by one intending Bidder to another is not permissible.
