1) QUALIFYING REQUIREMENTS:

01.Bidder should have executed construction of building works including sanitary works in the seven years preceding the date of publication of NIT.

02.Each Bidder can be awarded a maximum of 2 Packages only even if they quote lowest for 02 (Two) or more packages of Toilet Construction published by NTPC Simhadri under Swatch Vidyalay Abhiyan.

03.Bidder meeting following criteria can be considered for award of TWO packages:

a.Average annual turnover of not less than Rs.306 Lakhs during the last Three (03) Financial Years ending with 31.03.2014.

b.Should have executed Construction of buildings including sanitary works as follows:

i.Single work of value not less than Rs.143 Lakhs OR

ii.Two works of value not less than Rs.89 Lakhs each OR

iii.Three works of value not less than Rs.71 Lakhs each.

04.Bidder meeting following criteria can be considered for award of ONE package:

a.Average annual turnover of not less than Rs.153 Lakhs during the last Three (03) Financial Years ending with 31.03.2014.

b.Should have executed Construction of buildings including sanitary works as follows:

i.Single work of value not less than Rs.71.5 Lakhs OR

ii.Two works of value not less than Rs.44.5 Lakhs each OR

iii.Three works of value not less than Rs.35.5 Lakhs each.

05. Documentary evidence in support of above shall be submitted along with the bid.

06. Have Independent P.F. Code No. allotted by Regional Provident Fund Commissioner.

2) Last date for receipt of request for tender documents is 03/01/2015-17:00 Hrs.

3)Tender Fee: Rs.1288/- per package

a)Small scale Industries registered with the National Small Scale Industries Corpn. shall be exempted from payment of tender cost / Earnest Money Deposit. SSI units registered with APSSIDC are also entitled for exemption of EMD / Tender cost. Such parties can sent the request for Tender Documents along with copy of certificate self attested.

(b)Small scale Industries registered with NSIC / APSSIDC shall be exempted from payment of Security Deposit up to the monetary limit for which the unit is registered with NSIC / APSSIDC.

(c)Tenderers seeking exemption should enclose a photocopy of valid Registration certificate giving details such as validity, stores and monetary limits, failing which they run the risk of their tenders being passed over as ineligible for this concession.

4)As a proof of meeting the qualifying requirements the following documents will be required to be submitted in the Technical Bid. Legible copies of the following documents duly signed by the authorized representative of the bidder are to be submitted in support of the qualifying requirement along with technical bid.

a)(i) Award letter / Work Order with bill of quantities (ii) proof of value of work executed as mentioned at (b) below

b)Documentary evidence issued by the employer as proof of value of work executed clearly indicating (i) the executed value of the work and (ii) period (giving start date and end date) during which the work has been executed, in the form of job completion certificate / final deviation order / copies of measurement book (R/A bills). An employer means Government / Large Industrial Organisations / Public Sector Enterprises.

c)Copies of Balance sheet and Profit & Loss Account as audited by a practicing Chartered

Accountant OR Certificate of Turnover issued by a practicing Chartered Accountant clearly indicating the Books / Records / Documents on basis of which certificated is issued.

d)The Bidder shall indicate on copies of credentials (copies of the work orders and performance / completion certificates from Govt. / PSU / Organisations as specified in the Qualifying requirements, the condition a), b), & c) of Qualifying Requirements against which the credential is being submitted may be indicated on the document.

Original documents for verifications shall be produced as and when called for. Other income shall not be considered for arriving at annual turnover.

Bid documents will be issued to all intending bidders. However, such issue of Bid Documents will not automatically mean that parties are considered qualified. Such qualification will be examined at the time of opening of the Technical bids and Commercial bids (Price bids) of only those meeting the Qualifying requirements shall be opened.

A Complete set of Bidding documents may be obtained by any interested bidder on submission of a written application.

The bidding Documents may also be downloaded from http://www.ntpctender.com.

Issuance of bidding documents to any bidder shall not construe that such bidder is considered qualified. Bids shall be submitted and opened at the address given below in the presence of bidder's representatives who choose to attend.

Sealed tender shall be received at our Office at the address furnished below upto 15:30 HRS on the Bid Opening date and opened on the same day at 16:00 HRS in the presence of available Tenderers or their authorised representative, who may like to be present.

5)Incase the date of opening happens to be a HOLIDAY, the tender shall be received and opened on the next working day at the same time.

6)The Earnest Money & Tender should be submitted in separately sealed & superscribed envelopes. BIDS NOT ACCOMPANIED BY THE REQUISITE EARNEST MONEY IN ACCEPTABLE FORMATS ARE LIABLE FOR REJECTION.

7)Not withstanding anything stated above, NTPC reserve the right to assess bidder’s capability and capacity to perform the contract, should the circumstance warrant such assessment in overall interest of the owner.

8)NTPC reserve the right to reject or accept any tender without assigning any reasons thereof.

9)Above details are only indicative. Other detailed terms and conditions shall be as per our tender documents. Interested bidders are advised to visit the site and familiarize themselves with the site conditions.

1.The Tender shall be submitted in a sealed‐envelope addressed to & super scribed as mentioned below, so as to reach us latest by 15:30 Hrs on the Technical Bid Opening Date: 10/01/2014.

The tender can be submitted in person also, by dropping the sealed‐envelope and put in the Tender Box identified for the purpose (in CS Dept.), on or before the stipulated time and date mentioned above.

2.PROCEDURE FOR SUBMISSION OF BIDS: The Bids shall be submitted in TWO (2) Parts (Two Envelops), with each part in separate superscribed‐envelope as mentioned below:

PART-A : Technical Bid, comprising of:

a). Earnest Money Deposit (EMD) in the form specified in the Bid documents. b). Certificate on Important Conditions.

c). Letter of Undertaking, Appendix-III, Appendix-IV.

d). Documents in support of meeting Qualifying Requirements (QR):

The bidder should enclose documentary evidence against each of the QR Conditions. The bidder should indicate on the document the Item no. of the QR against which the document is being submitted. The bidder should also enclose the QR check‐list duly filled‐in, with the reference‐dataof documents enclosed against QR conditions.

e). Documents to be submitted with Technical Bid:

Legible copies of the following documents duly signed by the Bidder/ authorised representative of the bidder are to be submitted in support of the qualifying requirement along with technical bid.

I.(i) Award letter / Work Order with bill of quantities

(ii) Proof of value of work executed as mentioned at (B) below

II.Documentary evidence issued by the employer as proof of value of work executed clearly indicating (i) the executed value of the work and (ii) period (giving start date and end date) during which the work has been executed, in the form of job completion certificate / final deviation order / copies of measurement book (R/A bills).

NOTE: The word “executed” means that the bidder should have achieved the progress specified in the Q.R. even if the total contract is not completed/ closed. The same shall be supported by documentary evidence issued by the owner.

III.Audited balance sheet and profit & loss account of last three financial years ending 31st march 2014 (namely 2011‐12,2012‐13 & 2013‐14).

IV.

Partnership deed/ affidavit for proprietorship/ certificate of incorporation/ articles of

 

association etc with latest changes, if any.

V.Copy of Power of Attorney of Authorized Signatory (if applicable)

VI.

The bidder should have independent P.F. code number allotted by Regional Provident

 

Fund Commissioner. Copy of PF code allotted by RPFC must be submitted with

 

technical bid.

VII.

Copy of Sales Tax registration, Service Tax registration, STCC/TIN & PAN.

VIII.

The bidder should possess Service Tax registration number or must furnish an

 

undertaking to furnish Service Tax registration number within one month of award of

 

contract.

4.Procedure of Technical Bid Opening: For submission of bids, the time (i.e. 15:30 Hrs.) and scheduled Technical Bid Opening Date mentioned above, shall be treated as cut-off line for Part-B (i.e. Commercial Bid); and accordingly, that bid shall be treated as frozen. Subsequent changes to Commercial Bid shall not be entertained; by any manner such as supplementary letters / offers etc.. On the scheduled Bid Opening Date mentioned above, the envelope of Part‐A of Bid (containing EMD & supporting documents of QR); shall be opened, from 16:00 Hrs onwards; in the presence of participant Tenderers (who wish to be present). If the scheduled Bid Opening Date happens to be a closed‐holiday, the next working day shall be treated as Bid Opening date. Bids not accompanied with requisite EMD in a separate sealed cover; or bids accompanied with EMD of inadequate value / unacceptable form, shall not be entertained and such bids shall be returned to the bidders subsequently. NTPC takes no responsibility for delay, loss or non receipt of bids sent by tenderer through post/courier.

5.Earnest money deposit (EMD):

(A)The EMD offered shall, at bidder’s option, be in the form of:

(i)A Crossed Demand Draft / Pay order / Bankers Cheque / in favour of NTPC Limited payable at State Bank of Hyderabad, Simhadri. Standing EMD (issued by the NTPC, Simhadri) is also acceptable.

(ii)Fixed Deposit Receipt issued by Nationalized Banks endorsed in favour of NTPC Ltd.

(iii)An unconditional and irrevocable Bank Guarantee (BG), from any of the banks specified in the bidding documents. The format of Bank Guarantee towards bid security shall be in accordance with the ‘Performa for BG’ included in the bidding documents.

(B)NSIC / SSI units for the items /services for which such units are registered, shall be exempted from payment of Bid Security / Earnest Money Deposit. Eligible NSIC/SSI units shall be exempted from paying Security Deposit (SD) upto the monetary limit for which the unit is registered with NSIC/APSSIDC. This shall be subject to submission of a self certified legible copy of valid registration certificate giving details, such as items /services for which registered, validity, monetary limits etc’ in the EMD envelope.

Registered Cooperative Societies of Land Oustees recognized by NTPC, Simhadri are exempted from submission of EMD / Bid Security for tenders with estimated value of upto Rs. Twenty (20) Lakhs Only.

EMD SHALL NOT BE ACCEPTED IN ANY OTHER FORM.

6.The bidders who wish to participate in the bidding shall satisfactorily establish that they fulfill the stipulated qualifying requirements (QR check‐list enclosed) and should furnish appropriate supporting documentary evidence, along with the bid as explained. Issuance of Tender documents shall not automatically construe the qualification of the agency for the subject work, which will be determined through the evaluation of qualifying documents, furnished by the bidder.

7.After opening of Technical‐bids (with acceptable EMD), the documents submitted by the bidders against QR conditions will be scrutinized. NTPC reserves the right to seek clarifications /confirmations on Part‐A (Technical Bid) during the evaluation of same (i.e. before opening the Part‐B:Commercial Bid) and the bidders shall furnish the details within a short period of time.

The bidders shall produce the original documents for verification of NTPC, as & when called for.

8.Subsequent to the scrutiny of supporting documents against QR, the Commercial Bids (i.e. Part‐

B)of those bidders who are meeting qualifying requirements only will be opened. Hence, the Date of opening of commercial bids shall be intimated to only those bidders separately, and opened accordingly. The commercial‐bids of unqualified bidders, shall be returned unopened.

9.DEVIATION DECLARATION: The bidder should not take any deviations & shall submit nil deviation in Appendix-IV, which is enclosed & absence of this declaration, the bid will not be considered.

10.“If the rates / prices quoted by the successful bidder for certain items of the Bill of Quantities (wherever such rates / prices have been called for in the bids,) are found to be abnormally high or low in relation to the NTPC estimate of the cost of work to be performed under the Contract. Then NTPC may require the bidder to produce detailed rate / prices analysis for any or all items of the Bill of Quantities to demonstrate the internal consistency of these rates / prices with the construction methods and schedule proposed. After evaluation of the rate / price analysis NTPC may require that the amount of performance security be increased at the expense of the successful bidder to a level sufficient to protect NTPC against financial loss in the event of default by the contractor under the Contract, if award is placed on recommended bidder”.

11.NTPC reserves the right to evaluate operational part of any or all the bids found technically and commercially acceptable. The decision of NTPC shall be final and binding in this regard.

SCOPE OF WORK AND SPECIAL CONDITIONS OF CONTRACT (SCC):

1.0 NTPC Ltd. has been assigned the task of construction of Boys and Girls Toilets at various schools in the districts of Guntur, Visakhapatnam of AndhraPradesh State by the Ministry of HRD, Government of India (GOI). NTPC intends to construct the said Toilet Blocks, under different Contract Packages by awarding contracts through Tenders invited under Domestic Competitive Bidding. The details of the Contract Packages are defined more clearly the Notice Inviting Tender (NIT) and in the Tender documents, elsewhere.

2.0Before submission of the Tenders, the Bidders shall necessarily visit the work- sites, where work is required to be performed and acquaint themselves as to the means of access to site, availability construction materials, availability of labour, availability of construction water, power, their transportation, etc. NTPC Ltd. shall not entertain any claim, whatsoever, arising out of non- consideration or non-acquaintance of the site conditions, as described, briefly, as above, on the part of the bidder/Contractor.

3.0The work is required to be carried out at the schools which may be running classes/having mid-term or annual vacations and Contractor shall be required to plan his activities accordingly so that the day to day running of the school is not hampered and the progress of the work is achieved as per contractual requirement.

4.0The work shall be carried out as per CPWD-2013 Schedule and it's corresponding Technical Specifications and in the absence of same, IS specifications shall be applicable. In case of non- availability of both CPWD & IS specifications and in case of Non-Schedule Items, the work shall be carried out as per the Item Description and as per the best industry practice for the same. The work shall be executed the instructions and directions of the Engineer-in-charge.

5.0No construction material like cement, reinforcement steel, structural steel, bricks, etc. shall be issued by NTPC Ltd. and the same shall be arranged by the bidder/Contractor on his own, within the quoted/accepted rates. A list of the approved makes/ manufacturers for the Construction Materials, Sanitary Fittings, etc., is enclosed at APPENDIX-I, for the guidance of the bidders. The Contractors are required to procure and use in the work, the materials conforming to the IS specifications/ approved makes/ as manufactured by the approved manufacturers only.

6.0NTPC's General Conditions of Contract for Civil Works (GCC for civil works) shall be applicable during the currency of contract in so far as they do not contradict with the SCC, hereof. Specific conditions mentioned in the Special Conditions of Contract (SCC), herein, shall have precedence over the General conditions of Contract in case of contradictory provisions. A copy of the GCC read along-with the amendments is being furnished along-with the Tender Documents / can be referred to at the Contracts Section of the M&CS Department, NTPC Simhadri

7.0CONTRACTOR'S SUPERVISION & RESOURCES:

7.1The Contractor shall deploy adequate skilled, semi-skilled and un-skilled workmen at the work-site, necessarily required for achieving the desired progress. In case it is observed that there is a shortfall/slippage in the progress, the Contractor shall mobilise additional resources, without any extra cost implication to NTPC, immediately, so as to bring the work on the desired track.

7.2For a specific contract package the indicative requirement of Civil Engineers and Civil Supervisory staff shall be as follows. These may be required to be augmented as and when required by NTPC to achieve the desired progress.

A.Qualified Civil Engineers: 02 (TWO) Nos. for each Contract Package.

B.Site Supervisors: At-least ONE, at each school-site.

7.3The Contractor shall deploy the necessary resources like concrete mixer, vat for storing construction water, drilling machines, welding machines, curing arrangement, arrangement for protection to work, arrangement for barricading, etc..., as and when required, at his own cost and within his Contract Price.

8.0COMPLIANCE OF NTPC'S SAFETY CLAUSES:

The Contractor, including his authorized Sub-contractors, shall strictly comply with the statutory requirements, as applicable, in respect of safety of his employees, contract labour, equipment and materials. The Contractor shall also comply with the provisions of NTPC's Safety Rules, issued from time to time and as displayed on NTPC's website: http://www.ntpctender.com.

9.0 COMPLIANCE OF INSURANCE CLAUSES:

The Contractor shall fully comply with the Insurance Clauses, as required, under the relevant clauses of the GCC, for coverage of all risks to the Contracted Work and with regard to the compliance of the Insurance Clauses pertaining to the deployment of contract labour for the Contracted Work and the Contractor shall, at all times, keep NTPC indemnified against all claims arising out of compliance of all the above insurance clauses.

An indicative list of the Insurance Policies, required to be obtained by the Contractor, is as below:

i)Contractor's All Risk Insurance Policy (CAR Policy) for a Sum Insured equivalent to the full Contract Value of the work, as awarded and valid upto the end of the defects liability period.

ii)Insurance Policies as required under the Workmens' Compensation Act.

In case the Contactor does not provide any of the policies and certificates as required as per the GCC provisions and as described in brief, as above, NTPC Ltd.,with due notice to the Contractor may effect the insurance which the contractor should have provided and recover the premiums, NTPC has paid, from payments otherwise due to the Contractor or if no payment is due, the payment of premiums shall be RECOVERED AS DEBT DUE FROM CONTRACTOR.

10.0PRICE-BASIS:

10.1The currency of the bid and currency of payment shall be Indian Rupees.

10.2The percentages over or below DSR 2013 Rates / Item Rates quoted in the Schedule of Quantities shall also be deemed to include any incidentals not shown or specified but reasonably implied or necessary for the proper completion and functioning of the specified Works in accordance with Bidding Documents.

10.3The said percentage premiums, etc. / Item rates amount quoted in the Schedule of Items and Quantities shall be inclusive of all taxes duties, levies, fees, royalty, seigniorage, etc., Service Tax shall be extra as applicable as indicated in the Quote Sheets.

10.4The award of the Contract shall be on 'Works Contract' basis. The Bidder shall be responsible for payment of any tax levied on the transfer of property and goods involved in the 'Works Contract' in accordance with the applicable Act or Notification(s) by the State or Central Government or other authorities and rules made there under including amendments, if any. The liability on account of

such tax as per the rates of tax prevailing as on seven(7) days prior to the date of bid opening shall be included in the bid price. In case of any variation in the rates of the tax after the date i.e. seven(7) days prior to date of bid opening, the same shall be paid/reimbursed to/recovered from the successful Bidder subject to submission of documentary evidence and proof of having made the payment at the revised rate and on certification by Engineer-in-Charge.

10.5 It shall be incumbent upon the successful Bidder to obtain a registration certificate as a dealer under the local Sales Tax Act, Central Sales Tax Act, Service Tax Law, Works Contract Cess Law, Building and Other Construction Workers' Welfare Cess Act, 1996 and other law(s) relating to levy of tax, duty, cess etc., and necessary evidence to this effect shall be furnished by the sucessful Bidder to NTPC Ltd./ the Employer. The successful Bidder shall obtain necessary permits under the applicable law for the mining or quarrying of soil/earth, sand, stone/aggregates, metals, minerals or minor minerals required for the Works(if he so desires), as the case may be from the State/Central Government authorities and pay the fee or charges applicable, thereto.

10.6 Service Tax shall be extra as applicable. The Bid Price shall be inclusive of any Seignorage Fee or Royalties or cess or other charges payable on the quarried or mined metal, minerals or minor minerals, as the case may be, at the rate(s) prevailing within seven(7) days prior to the date of bid opening. In case of variation in the rate of Seignorage Fee or royalties during the period of contract, an equitable amount shall be paid to/recovered from the successful Bidder as assessed by the Engineer-in-Charge based on the satisfactory documentary evidence to be submitted by the successful Bidder.

10.7If a new tax, duty or levy is imposed under statute or law in India after the date seven (7) days prior to date of bid opening and the successful bidder becomes liable there under to pay and actually pays the said new tax, duty or levy for bonafide use on the Works contracted, the same

shall be reimbursed to the Successful Bidder against documentary evidence of proof of payment, provided that the amount thus claimed is not paid/payable under price variation provision of the Contract.

10.8The payment/reimbursement of statutory variation in the rates of tax and/or of new tax, duty or levy imposed under statute or law in India, would be restricted only to direct transactions between the Employer and the successful bidder.

10.9The Employer shall be entitled to make necessary tax deductions at source as per the prevalent laws. The Contractor shall be required to submit the PAN details to the Engineer-in-Charge before the submission of the first bill.

10.10 The Bidder shall himself be informed of all the applicable laws, notifications, rules, circulars and other communications of the State or Central or other authorities with regard to levy of any tax, duty, cess, levy or fee such that his bid prices take into account all of them.

10.11 The Bidder shall keep his bid valid for a period of six(6) months from the date of opening of the bid, unless otherwise specified in Bid Data Sheet, during which period the Bidder agrees not to vary, alter or revoke his bid in either whole or in part.

10.12 In exceptional circumstances, prior to the expiry of the original bid validity period, the Employer may request the Bidders to extend the period of validity for a specified additional period. The request and the responses there to shall be made in writing. A Bidder agreeing to the request will not be permitted to modify his bid, but will be required to extend the validity of his security for the period of the extension.

10.14 SUBMISSION OF BIDS:

10.14.1 The Contractor shall submit and Declaration that he has not taken any deviation to the terms of the tender, specifications, period of completion, quantity deviations, Maintenance Period of Two Years, completion schedule etc., The prices quoted for Maintenance Scope of the work shall be considered for the evaluation of offers. A declaration to this effect shall necessarily be submitted in Envelope-1 of the offers, containing the EMD, a format for the Declaration is enclosed at Appendix-IV. In case this declaration for Nil deviation is not found in Envelop-1 the bid shall be considered as non-responsive and the price bid shall be returned to the bidder in Un-opened condition.

10.14.2The schedule of Items & Quantities (BOQ) is divided into THREE PARTS as detailed below:

10.14.3PART- A(I), B OF BOQ/QUOTE SHEET:

BOQ contains the Schedule of Items & their Quantities, as estimated by the owner/NTPC, for completion of the work, as per the Scope of Work, based on DSR-2013 Rates. The schedule is to be read in conjunction with the Tender Drawings and CPWD Technical Specifications, as defined in the tender documents. The Bidder shall quote his percentage, either ABOVE or BELOW the DSR 2013 Rates, which would be applied to determine his Bid Price. Thus the Bid Price for the Schedule Items would be the Sum of the Bid Price as per DSR 2013 Rates and the Amount arrived after applying the quoted/ negotiated percentage, over these rates which shall be either ABOVE or BELOW the DSR 2013 rates. The Percentage shall be quoted in both figures & words and in case there is any difference between the percentage quoted in figure and the corresponding percentage quoted in words, the percentage quoted in words shall be considered for evaluation and award.

PART A(II) OF BOQ (NSI):

The Schedule-II of Part-A of the BOQ comprises the Non-Schedule Items (NSI) required for Completion of the work. The Bidder shall quote his Item Rates in figures and words in respect of each of these Non-Schedule Items and in case there is any difference between the rate quoted in figures and the corresponding rate quoted in words, the rate quoted in words shall be considered for evaluation and award.

10.14.4 The Bid Price as arrived at after considering the amounts quoted in Part-A (Schedules I & II) and Part-B shall be considered for evaluation and award. Bidders are requested to kindly note that no deviation is permitted in respect of scope of the work and it shall be required that the offer/ Bid shall be made in respect of all the three schedules as detailed above. In case it is found that the Bidder has not offered his price in any of the schedules, his bid shall be considered as non- responsive and shall be summarily rejected.

10.15 FIRM-PRICE: The quoted/ accepted Percentages and Item rates shall remain FIRM during the currency of the contract and no Price adjustment/ escalation, whatsoever, shall be payable.

10.16 It is deemed that the Bidder has read the provisions of following clauses and confirms that notwithstanding anything stated elsewhere in his bid to the contrary, the stipulations of these clauses, as specified in the Bidding Documents, are acceptable to him and he further confirms that he has not

taken any deviation to any of them anywhere in his bid:

(a)"Settlement of Disputes".

(b)"Contract Performance Security Or Security Deposit".

(c)"Advance" and "Payment on account/Progressive interim payments/ RA Bills".

(d)"Contract price adjustment".

(e)"Liquidated damages for delay".

(f)"Defect liability period".

10.17Fraud Prevention Policy: The Bidder shall comply with the requirements of NTPC's Fraud Prevention Policy, as displayed at http://www.ntpctender.com.

10.18EVALUATION CRITERIA & PAYMENT FOR VARIATIONS:

NTPC Ltd., Simhadri STPP has been assigned the task of Construction of more than 600 Toilet Blocks. In order to achieve the targets NTPC has divided the work into different Contract Packages, so as to have ease in award and execution. In order to achieve the targets set, by The Govt. Of India, Ministry of HRD, NTPC intends that the works are executed satisfactorily with adequate mobilisation of resources.

SPECIAL INSTRUCTIONS: ANY BIDDER WILL BE CONSIDERED FOR AWARD OF MAXIMUM TWO(02) PACKAGES ONLY EVEN IF THEY QUOTE LOWEST FOR MORE THAN TWO PACKAGES.

IN CASE A PARTICULAR BIDDER WISHES TO PARTICIPATE IN MORE THAN TWO PACKAGES, HE SHALL INDICATE CLEARLY, BEFORE THE OPENING OF THE BIDS, AS TO WHICH OF THE PACKAGES HE WOULD BE INTERESTED, IN THE ORDER OF PRIORITY.

10.19 Quantity Deviation:

(i)The Quantity deviations occurring in the contract after award of work shall be governed by the provisions of Clause Nos.10 and 11 of the General Conditions of Contract (GCC). However the following provision shall have over-riding effect.

a)The quantities in respect of individual items of the Schedules of Part- A,B can vary to any extent on both positive & negative side, however the total deviation in the contract value shall be limited to (+) or (-) 30%.

b)Total No. of Toilet Blocks to be constructed under this package can vary to an extent of (+) or (-) 30%.

c)The contract rates shall remain FIRM for such Post award deviations.

10.20 Splitting of Work:

NTPC Ltd. shall reserve the right to split the work in a particular package/ tender into two or more packages and award the same to two or more bidders, subject to the condition that they meet the Lowest Evaluated Lump-Sum Price, as received during Competitive Bidding.

Splitting of the package / tendered work shall be carried out in the overall interest of the owner, so as to ensure completion of the works within the stipulated schedule, allotted to NTPC by the GOI.

10.21 SUB-CONTRACTORS:

Clause 37 of NTPC GCC for Civil works is applicable.

10.22COMPLETION PERIOD, HANDING OVER AND MAINTENANCE WORK:

10.22.1 Time is of essence of the contract. the Contractor shall strictly adhere to the following Completion Schedule:

(i)The Contractor shall fully mobilise at site , within two weeks of the date of intimation of award or within 15 calendar days of the date of intimation of award.

(ii)The total period for completion of the Construction Work Portion under the contract package shall however be SEVEN (07) calendar months, reckoned from the date of intimation of award.

(iii)On completion of the work, the contractor shall necessarily obtain the signature of the Principal / Vice-Principal of the school as evidence of Handing over/Taking over of the Toilet utilities, under the contract. This note shall be counter-signed by NTPC's Engineer-in-charge or his authorised

representative. A format for the handing over note is attached at Appendix-I, enclosed.

10.23SCOPE CHANGES NECESSITATED BY SCHOOL/ DEO:

In case of any scope deletion, changes in the scope of work, etc..., are necessitated during the progress of work, arising out of the requirements of the concerned school authorities, the Contractor shall obtain necessary instructions in writing from the Principal and the DEO (District Education Officer) for the same giving reasons/ justification, for further instructions by the NTPC management.

10.24 RESOLUTION OF DISPUTES/ ISSUES DURING CONSTRUCTION:

In case of any dispute arising out of local issues, problems, the same shall be resolved by the Contractor, at his own cost, however, necessary support from the School authorities and DEO shall be facilitated by NTPC Ltd. the Head Master / Principal of the School would facilitate the construction of Toilet Block(s). The contractor would approach the Head of the School for finalizing the location of the Toilet Block.

10.25 Payment Terms:

NTPC shall not pay any mobilisation advance for the work. Further, no secured advance nor any loan shall be payable to the contractor, on award of work.

10.25.1 For the Construction Work, under each package, the payment shall be made on satisfactory completion of the individual toilet blocks. Four stages are identified as mile stones in the construction of Toilet Blocks for release of payments as below, for the quantities actually executed and as certified by the School Head Master / Principal and Engineer-in-Charge:

(i)First Stage: On Completion of Work up-to Plinth Level – Max. 25% of corresponding Toilet Blocks value;

(ii)Second Stage: On Completion of work up-to Lintel level (2.1M) – Max. 20% of corresponding Toilet Blocks value

(iii)Third Stage: On Completion of entire structure up-to Roof Slab - Max. 20% of corresponding

Toilet Blocks value;

(iv)Fourth Stage: On completion of the Finishing work, External works, etc. and on completion of the entire scope of work on handing over of the utility to the Headmaster / Principal of the School and on submitting evidence of the same in the format enclosed with the tender documents - Max. 20% of corresponding Toilet Blocks value.

10.25.2The contractor can raise a maximum of Five bills for each package. However, contractor has the flexibility to indicate Toilet Blocks which have reached varying stages of completion.

10.25.3Balance 15% of the package value shall be released on completion of the entire package to the satisfaction of EIC.

10.25.4However, Security Deposit shall be recovered from bills as per GCC for Civil works. 50%

of the security deposit shall be released after the completion of the construction work, and balance shall be released after defect liability period which shall be one year after completion of construction and handing over

10.26 SECURITY, WATCH & WARD AND MAINTENANCE:

The contractor shall maintain, at his own cost, the security of the "Site", i.e., the school premises allotted to him for the Construction of Toilet Blocks, in good condition and shall keep regular watch and provide security to the same at all times, so as to prevent pilferage of materials and fittings, damage to property, etc.., till the last toilet, under the contractor's scope is completed and handed over, as prescribed hereof. Responsibility for providing Watch & Ward, security to the contractors materials, equipment, protection to completed works etc. Shall be of the contractor until the completion and handing over of the work.

10.27 SETTLEMENT OF DISPUTES BETWEEN THE CONTRACTOR & NTPC LTD.:

It shall be a term of the contract that any matter relating to or touching the contract, shall be referred to the Engineer-In-Charge or his authorised representative for his decision. In case the Engineer-In-Charge is unable or unwilling to decide on the matter, the same shall be referred to the decision of the Group General Manager, NTPC Ltd., Simhadri STPP. In case the matter is still undecided the contractor may invoke arbitration under the relevant clause of the GCC and refer the matter to the Head of the Project (HOP), NTPC Simhadri who would appoint a suitable person as the Sole Arbitrator. The Contractor shall not have any objection to such appointment if a person from NTPC is appointed as an arbitrator and if the person has dealt-with any issue relating to the execution of the contract under question.The arbitration shall be carried out as per the Indian Arbitration & Conciliation Act, 1996 and the place of Arbitration shall be as decided by the Arbitrator. The Contract shall be governed by the Indian Laws in force & the Courts in the district of Visakhapatnam alone shall have exclusive jurisdiction in the matters pertaining to the contract.
