3.1Technical Criteria:

NOTES:

1)Prefab structures shall mean Pre-fabricated / Pre-engineered buildings with wall cladding, intended to be used for residential / office purposes only.

Godowns, Cold storages and Industrial porta-cabins such as factory etc. shall not be considered as qualifying work(s).

2)Single reference work shall mean the work executed at one location / campus through single contract.

3)Atleast one building under each reference work(s) should be double storey prefab structure.

4)The items of finishing, false ceiling, flooring, plumbing, sanitary & electrification works should have been completed in at least one building under reference work(s).

Toilet / Kitchen block(s) if constructed separately, the same shall be considered part of the above building.

5)The reference works executed by the applicant’s group company / subsidiary company shall not be considered for it’s qualification.

6)The word “executed” means, the applicant should have achieved the criteria specified in the above Qualifying Requirements within the preceding seven (7)

years period reckoned as on the last date notified for receipt of application, even if the contract has been started earlier and / or is not completed / closed.

7)Applicant who meets the Qualifying Requirements for higher Category, shall automatically be eligible for lower Category and need not apply separately.

(Category I is the lowest and category II is the highest category.)

3.2Financial Criteria:

3.2.1The average annual turnover of the Applicant, in the preceding three (3) financial years as on the last date notified for receipt of application, should not be less than the value indicated in column no. (3) of the table at 3.1 above.

3.2.2The Net Worth of the Applicant as on the last day of the preceding financial year should not be less than 25% of its paid-up share capital.

3.2.3In case the Applicant is not able to furnish its audited financial statements on stand alone entity basis, the un-audited unconsolidated financial statements of the

Applicant can be considered acceptable provided the Applicant further furnishes the following documents for substantiation of its qualification:

3.2.3.1 Copies of the un-audited unconsolidated financial statements of the Applicant along with copies of the audited consolidated financial statements of its Holding Company.

3.2.3.2A Certificate from the CEO / CFO of the Holding Company, as per the format enclosed in the Enlistment documents, stating that the un-audited unconsolidated financial statements form part of the Consolidated Annual Financial Statement of the company.

In case where audited results for the last preceding financial year are not available, certification of financial statements from a practicing Chartered Accountant shall also be considered acceptable.

3.2.4In case, an Applicant does not satisfy the financial criteria, stipulated at Clause 3.2.1 and / or 3.2.2 above on its own, its holding company would be required to meet the stipulated turnover requirements at Clause 3.2.1 above, provided that the net worth of such holding company as on the last day of the preceding financial year is at least equal to or more than the paid-up share capital of the holding company. In such an event, the Applicant would be required to furnish along with its application, a Letter of Undertaking from the holding company, supported by Board Resolution of the holding company, as per the format enclosed in the Enlistment documents, pledging unconditional and irrevocable financial support for the execution of the Contract by the Applicant in case of award against project specific enquiry after the enlistment.

3.2.5The un-utilized line of credit for fund based and non-fund based limits with cash and bank balances including fixed deposits of the Applicant as on a date not earlier than 15 days prior to last date notified for receipt of application for enlistment, duly certified by its Bankers should not be less than the amount

indicated in column no. (7) of the table at 3.1 above. In case certificates from more than one bank are submitted, the certified un-utilized limits should be of the same date from all such banks.

3.2.6Where another Company of the group acting as the Treasury Centre is responsible for Treasury Management of the applicant having combined credit / guarantee limit for the whole group, the Applicant would be required to provide a

Banker’s certificate regarding the unutilized line of credit for fund based and non- fund based limits together with cash and bank balances including fixed deposits available to such Treasury Centre. Further, Treasury Centre shall certify that out of the aforesaid limits certified by the bankers’, the Applicant shall have access to the line of credit of a level not less than the specified amount at Clause 3.2.5 above. In proof of this, the Applicant would be required to furnish along with its

Application for enlistment, a Letter of Undertaking from the Treasury Centre, supported by a Resolution passed by the Board of Directors of the holding company, as per the format enclosed in the Enlistment documents, pledging unconditional and irrevocable financial support for the execution of the Contract by the Applicant in case of award against project specific enquiry after the enlistment.

3.2.7In case the Applicant’s unutilized line of credit for fund based and non-fund based limits specified at Clause 3.2.5 above is not sufficient, a comfort letter from one of the bankers specified in the Enlistment documents unequivocally stating that in case the Applicant is Enlisted, the Bank would enhance line of credit for fund based and non-fund based limits to a level not less than the specified amount to the Applicant or to the Treasury Management Centre as the case may be, shall be acceptable.

Notes:

i)Net worth means the sum total of the paid up share capital and free reserves. Free reserve means all reserves credited out of the profits and share premium account but does not include reserves credited out of the revaluation of the assets, write back of depreciation provision and amalgamation. Further any debit balance of Profit and Loss account and miscellaneous expenses to the extent not adjusted or written off, if any, shall be reduced from reserves and surplus.

ii)Other income shall not be considered for arriving at annual turnover.

iii)The enlisted party shall have to re-confirm the criteria as stated at Clause 3.2 above at the time of submission of bid for a specific project enquiry through a

“Certificate signed by CEO/CFO”, stating that the “Average Annual Turnover” of the Bidder in the immediately preceding three financial years as on the date of Techno Commercial bid opening for the project specific enquiry, the “Net Worth” as on the last day of the preceding financial year as on the date of Techno Commercial bid opening for project specific enquiry and “Unutilized Line of Credit” for fund based and non fund based limits with cash and bank balances including fixed deposits as on a date not earlier than 15 days prior to the date of Techno

Commercial bid opening for project specific enquiry are not less than those specified under Clause 3.2 above. Further, the unutilized line of credit shall be

duly certified by the Banker. Alternatively, in case the Bidder’s unutilized line of credit is not sufficient, a comfort letter from one of the bankers specified in the documents, unequivocally stating that in case the Bidder is awarded the Contract against Project specific enquiry, the Bank would enhance line of credit for fund based and non – fund based limits to a level not less than the specified amount to the Bidder, shall be acceptable. These documents shall be separately submitted in a sealed envelope failing which the price bid shall not be opened.

3.3Notwithstanding anything stated above, the Employer reserves the right to verify any information/document furnished, inspect the works carried out by the applicant and also to carry out assessment of the capabilities and capacity of the applicant to perform the contract, should the circumstances warrant such assessment in the overall interest of the Employer.

4.0Subsequent to Enlistment, only the enlisted agencies will be allowed to submit the bids in respect of specific enquiry of Corporate Centre/ Regional Head Quarters/

Projects for Prefab Structure Works Package till the time Enlistment is valid.

5.0NTPC reserves the right to reject any or all applications or cancel/ withdraw the

‘Notice Inviting Applications’ without assigning any reasons whatsoever and in such case no Applicant or intending Applicant shall have any claim arising out of such action. NTPC shall also have the right to verify any information/ document furnished by the Applicant/ Agency/ Company/ Firm and inspect the works carried out by the Applicant/ Agency/ Company/ Firm, if so required.

6.0Applicants who respond within due date with application as mentioned above against this advertisement will only be considered for Enlistment.

8.0Issuance of Enlistment Documents to any Applicant shall not construe that such

Applicant is considered to be qualified. The Applicant shall bear all costs incurred in the preparation and submission of the application and other actions implied. NTPC shall not be responsible or liable for such costs, regardless of the outcome of the Enlistment process.

Transfer of Enlistment Documents purchased by one intending Applicant to another is not permissible.

It may be noted that Prospective Applicants from Uttar Pradesh State are compulsorily required to provide TIN Number at the time of purchase of Enlistment Documents from NTPC.
