3.0 Bid Security and Integrity Pact (if applicable) shall be submitted in a sealed envelope separately offline by the stipulated bid submission closing date and time at the address given below. Any bid without an acceptable Bid Security and Integrity Pact (if applicable) shall be treated as non-responsive by the employer and shall not be opened.

4.0 A complete set of Bidding Documents may be downloaded by any interested Bidder on payment (nonrefundable) of the cost of the documents as mentioned above in the form of a crossed account Payee demand draft in favour of NTPC Ltd., Payable at LUCKNOW or directly through the payment gateway at our SRM Site (https://etender.ntpclakshya.co.in/sap/bc/gui/sap/its/bbpstart). For logging on to the SRM Site, the bidder would require vendor code and SRM user id and password which can be obtained by submitting a questionnaire available at our SRM site as well as at NTPC tender site (www.ntpctender.com). First time users not allotted any vendor code are required to approach NTPC at least three working days prior to Document Sale Close date alongwith duly filled in questionnare for issue of vendor code and SRM user id/password.

5.0 Brief Scope of Work & other specific detail Bidding Document No. :NTPC/NRHQ/C&M/Rh-3/EOT /2013 5 A NTPC invites Online Bids on Single Stage Two Envelope bidding basis (Envelope-I: Techno-Commercial Bid & Envelope-II: Price Bid) from eligible Bidders for Supply, Installation and Commissioning of EOT Cranes for Rihand Super Thermal Power Plant , Stage-III (2X500MW) situated at Rihand, District Sonebhadra in Uttar Pradesh, as per the Scope of Work mentioned hereinafter. The following equipment are covered in this package. Electrically operated overhead travelling crane of capacity 150/40 tonnes (03 Nos.) and 40/5 Tonnes (02 Nos.) complete with all accessories and auxiliary equipments as per specification requirements for CRF Heavy machine shop. The scope of the proposal for Supply & Erection of Electric Overhead Travelling Crane Package for CRF, RHSTPP RIHAND shall be on the basis of a single point responsibility, completely covering the following activities and services in respect of all the equipments specified and covered under the specifications:

a. Detailed design of all the equipments and systems;

b. Complete manufacturing including shop testing;

c. Providing engineering drawings, data, operation and maintenance manuals, etc. for the Owner#s approval;

d. Packing and transportation from the manufacturers works to the site including customs clearance/port clearance, port charges, if any;

e. Receipt, unloading, storage, preservation, handling and conservation of the equipment at the site;

f. Preassembly, if any, erection, testing and putting into satisfactory operation of all the equipments including successful completion of trial operation and performance guarantee tests.

g. Furnishing of spares on FOR site basis; Detailed specification, scope of work and terms & conditions are given in the bidding documents, which are available for examination at the address given at Sl. No 10 below.

5 B BENEFITS/EXEMPTIONS TO SUPPLIES FOR MEGA POWER PROJECTS Rihand Super Thermal Power Project, Stage-III (2X500 MW) has been declared a Mega Power Project by Ministry of Power (Govt. Of India). Accordingly, supplies of goods for this package shall be eligible for the benefits / exemptions as per provisions of relevant policy & Notifications of Govt. of India.

NOTE:

The date of opening of price bid as indicated above is tentative; the same shall be notified separately after opening of Techno-Commercial Proposal.

5 C EXEMPTION FROM PAYMENT OF TENDER FEE/BID SECURITY Small Scale Industries (SSI) units registered under Single Point Registration System with NSIC and SSI units registered with State Small Industries Development Corporation (SSIDC) of the state where the Purchase is being made shall be

i) issued the bid documents free of cost;

ii) exempted from paying Earnest Money Deposit

iii) exempted from payment of Security Deposit for the contracts awarded up to the monetary limit for which the Unit is registered with NSIC/SSIDC. Bidders seeking exemption should submit photocopy of valid registration certificate preferably attested by Gazetted Officer/ Ist Class Magistrate, giving details such as validity, stores and monetary limits, failing which they run the risk of their bid being passed over

5 D All corrigenda, addenda, amendments, time extensions or clarifications etc to the NIT will be hoisted on above website only. Bidder should regularly visit website to keep themselves updated

5 E Bids shall be submitted online and opened at the address given below at Sl. No. 10 in the presence of Bidders representatives who choose to attend the bid opening. Bidder shall furnish Bid Security, Power of Attorney , No deviation Certificate and Letter of Undertaking, separately offline as detailed in Bidding Documents by the stipulated bid submission closing date and time at the address given below at Sl No. 10.

5 F Transfer of Bidding Documents purchased by one intending Bidder to another is not permissible.

6.0 Prospective bidders from U.P. State are compulsorily required to provide TIN number at the time of purchase of bidding documents.

7.0 Qualifying Requirements for Bidders:

7.1 The bidder should have designed, manufactured, supplied, erected and commissioned electrically operated indoor overhead travelling cranes of capacity 150 T or more with minimum crane span of 30 metres which is in successful operation in at least one (01) station/location for a minimum period of one (01) year as on the date of bid opening.

7.2 Financial Requirement

7.2.1 The average annual turnover of the Bidder, in the preceding three (03) financial years as on the date of Techno-Commercial bid opening, should not be less than INR 899.00 Lacs (Rupees Eight Hundred and Ninety

7.2.2The net worth of the bidder as on the last day of the preceding financial year should not be less than 25% of the paid-up share capital.

7.2.3In case the bidder is not able to furnish its audited financial statements on standalone entity basis, the unaudited unconsolidated financial statements of the bidder can be considered acceptable provided the bidder further furnishes the following documents on substantiation of its qualification:

I. Copies of the unaudited unconsolidated financial statements of the bidder along with copies of the audited consolidated financial statements of the Holding Company.

II. A Certificate from the CEO/CFO of the Holding Company, as per the format enclosed in the bid documents, stating that the unaudited unconsolidated financial statements form part of the Consolidated financial statements of the holding company. In case where audited results for the last preceding financial year are not available, certification of financial statements from a practicing Chartered Accountant shall also be considered acceptable.

7.2.4 In case a bidder does not satisfy the financial criteria, stipulated at Clause 7.2.1 and/or 7.2.2 above on its own, its Holding company would be required to meet the stipulated turnover requirements at clause 7.2.1 above, provided that the net worth of such holding company as on the last day of the preceding financial year is at least equal to or more than the paid-up share capital of the Holding Company. In such an event, the bidder would be required to furnish along with its Techno- Commercial bid, a Letter of Undertaking from the holding company, supported by Board Resolution of the Holding Company, as per the format enclosed in the bidding documents, pledging unconditional and irrevocable financial support for the execution of the Contract by the bidder in case of award.

7.2.5 The unutilized line of credit for fund based and non-fund based limits with cash and bank balances including fixed deposits of the Bidder as on a date not earlier than 15 days prior to the date of Techno-Commercial bid opening, duly certified by its Bankers should not be less than INR 452.00 Lacs (Rupees Four Hundred and Fifty Two Lacs Only) or in equivalent foreign currency. In case certificates from more than one bank are submitted, the certified unutilized limits shall be of the same date from all such banks.

7.2.6 Where another Company of the group acting as the Treasury Centre is responsible for Treasury Management of the Bidder having combined credit / guarantee limit for the whole group, the Bidder would be required to provide

a Banker's certificate regarding the unutilized line of credit for fund based and non-fund based limits together with cash and bank balances including fixed deposits available to such Treasury Centre. Further, Treasury Centre shall certify that out of the aforesaid limits certified by its bankers, the Bidder shall have access to the line of credit of a level not less than the specified amount at clause 7.2.5 above. In proof of this, the bidder would be required to furnish along with its Techno-Commercial bid, a Letter of Undertaking from the Treasury Centre, supported by a Resolution passed by the Board of Directors of the Holding Company, as per the format enclosed in the bidding documents, pledging unconditional and irrevocable financial support for the execution of the Contract by the Bidder in case of award.

7.2.7 In case the Bidder's unutilized line of credit for fund based and non-fund based limits specified at Clause 7.2.5 above is not sufficient, a comfort letter from one of the bankers specified in the bidding documents unequivocally stating that in case the Bidder is awarded the contract, the Bank would enhance the line of credit for fund based and non-fund based limits to a level not less than the specified amounts at Cl. 7.2.5 above to the Bidder or to the Treasury Centre, as the case may be, shall be acceptable.

7.2.8 In case of a bid submitted by Joint Venture, the turnover and line of credit shall be considered on a combined manner for all JV partners and for net worth, all the partners should be required to meet individually. However, in

case of a JV of Holding and/or Subsidiary Companies, the options at Clause 7.2.3 or 7.2.4 are also available to the Bidder.

Notes :

(i) For the purpose of compliance to the stipulated turnover criteria given in clause No. 7.2.1, the turnover from the Joint Venture (s) in proportion to the Bidders / proposed Joint Venture partner (s) share as declared in the Joint Venture agreement, should also be considered.

(ii) Net Worth means the sum total of the paid up share capital and free reserves. Free reserves means all reserves credited out of the profits and share premium account but does not include reserves credited out of the revaluation of assets, write back of depreciation provisions and amalgamation. Further, any debit balance of profit and loss account and miscellaneous expenses to

the extent not adjusted or written off, if any, shall be reduced from Reserves & Surplus

(iii) Other income shall not be considered for arriving at annual turnover.

(iv) For unutilized line of credit for fund based and non-fund based limits and turnover indicated

in foreign currency, the exchange rate as on 7 days prior to the date of Techno- Commercial bid opening shall be used.

7.3 Notwithstanding anything stated above, the Employer reserves the right to assess the capabilities and capacity of the Bidder / his Collaborators / Associates / Subsidiaries / Group companies/ Joint Ventures to perform the Contract, should the circumstances warrant such assessment in the overall interest of the Employer

8.0 Issuance of Bidding Documents to any bidder shall not construe that bidder is considered qualified.

9.0 NTPC reserves the right to reject any or all bids or cancel/withdraw the NIT for the subject package without assigning any reason whatsoever and in such case no bidder/intending bidder shall have any claim arising out of

such action.
